TERMS AND CONDITIONS	TERMS & CONDITIONS Three Fountains of Viera 02-10-08 BIDDER REGISTRATION: No prior deposits are required to bid in this auction unless registered by phone, internet or absentee. In order to bid, you will be required to show a $5,000 initial deposit on auction day in the form of a certified or cashier's check made payable to yourself which will be endorsed over to the closing title agent if you are the highest bidder. You will also be required to show at that time a blank personal check which would be used to complete a 10% deposit if you are the winning bidder. Internet, absentee and phone bidding are available with advance deposit. Wired or mailed funds must be received and verified by 5 PM eastern time Thursday, February 7th. Call 941-373-1433 for instructions. BIDDING: All bidding is open to the public without regard to race, color, sex, religion, familial status, handicap or national origin. Sale is not subject to financing. CLOSING: The property shall be closed and title insurance issued through Security First Title1600 Sarno Rd. Suite 20 Melbourne, FL 32935 Ph: 321-757-0130 Fax: 321-757-8407. Full remaining balance due at closing within 30 calendar days of auction in the form of Certified or Cashier's check or wire transfer. Checks made payable to: Security First Title. BUYER�S PREMIUM: A 10% buyer�s premium (BP) shall be added to the high bid at the auction or a 7 � % BP shall be added to the high bid pre-auction and included in the total contract price. All properties are subject to pre auction sales. CANCELLATION: Auctioneer reserves the right to cancel, postpone or withdraw the property before or up to the start of the auction. The auctioneer reserves the right to offer this property in any manner and reserves the right to sell the property in any manner he/she so desires up to the start of the auction. The auction does not start until the auctioneer accepts the first bid, day of auction. NO FINANCING CONTINGENCY: This is a cash transaction with no contingency for financing. Buyer may finance a portion of the purchase price, but Buyer�s obligation to proceed with the purchase is not contingent upon the buyer obtaining financing. If the buyer is unsuccessful in obtaining financing and is unable to go to settlement within the required time period, the deposit(s) provided by the buyer shall be forfeited. BID ACCEPTANCE: There are no contingencies of any kind. The buyer accepts the property "as is where is" with no warranties or guarantees of any kind except free and clear title transfer from the seller to the buyer with no liens or encumbrances of any kind at closing. All Manufactures Warranties will be passed through to Buyer at closing. At closing, Buyer will receive the Statutory Warranties imposed by the Florida Condominium Act. Buyer is recommended to conduct a personal inspection of the property and complete full due diligence on the property prior to bidding and takes sole responsibility to perform any inspections buyer deems pertinent to the purchase of the property and to be satisfied as to the property�s condition prior to bidding. Auctioneer and its agents and subagents and the sellers assume no liability for errors or omissions in this or any other property listing or advertising, promotional or publicity statements and material. Although information has been obtained from sources deemed reliable, neither the Auctioneer nor Seller make any guarantee as to the accuracy of any such information. EARNEST MONEY: The winning bidder shall immediately sign the sales contract at the conclusion of the bidding and pay a deposit equal to ten percent (10%). The deposit shall be a combination of the $5,000 cashier�s or certified check plus a personal check in an amount sufficient to bring the total deposit to ten percent (10%) of the purchase price. The deposit will be held in an escrow account and then applied to the purchase price a closing. CLOSING COSTS: The buyer shall pay all closing costs including but not limited to title insurance, documentary stamp tax on the deed and recording fees. Seller shall pay for any proration of real estate taxes due and condominium association fees. ONE YEAR WARRANTY: There is a one year warranty included on each unit through Service America 1-888-201-5758. Copy of warranty available at www.marshawolakauctions.com ADDITIONAL TERMS: The auctioneer/broker shall be the final authority in all matters. The auctioneer/broker reserves the right to accept or reject any and all bids. Auctioneer does not bid on behalf of the seller or use shills or rigged bidding of any kind. Announcements day of auction take precedence over any previous information. BACK UP BIDDER: The back-up bidder if desired can sign a back-up sales contract at the conclusion of the bidding with initial earnest money deposit of $5,000. Balance of 10% due only upon contract moving into primary position. DEFAULT: In the event of a default by the buyer, the deposit is not refundable for any reason unless the seller is unable to perform and the earnest money may be retained by the Seller and Auctioneer in accordance with the agreement between them. Upon buyer default, Auctioneer may, in addition to asserting all remedies available by law, including the right to hold defaulting Buyer liable for the purchase price, either a) cancel the sale, retaining as liquidated damages any payment made by such buyer, b) resell the property with or without reserve at public auction or privately on (7) calendar day�s notice to such buyer, or c) take such other action as it deems necessary or appropriate. BROKER COOPERATION: Agents must register by Friday, February 8th - 12PM Noon in order to be eligible for compensation. Agents must have their clients sign their registration and must accompany their clients in person to the auction.
