TERMS AND CONDITIONS	1. Potential purchasers are invited to make complete and thorough inspections and satisfy any inquiries. Auctioneers, brokers and sellers have disclosed all information known to them. The property is being sold “As-Is, Where-Is.” 2. Seller is motivated and fully intends to sell property at this auction. Property sells subject to Seller approval. 3. A ten percent (11%) buyer’s premium will be added to the winning bid price to arrive at the total contract price paid by the purchaser. 4. This property is being sold subject to an agreement to share sewer and water with the adjoining convenience store in which the restaurant property furnishes and maintains the independent sewer plant (which is currently under a testing and compliance contract at a cost of approximately $180 per quarter) and the convenience store furnishes water to both properties at the convenience store owner’s expense. There is an existing 50’ access easement to the parcel adjoining this property on the East. 5. Buyers and Sellers will enter into a standard format Contract for the Sale of Real Estate. Contract will call for a 10% down payment in the form of a personal or company check with the balance of the purchase price due, in certified funds, on or before the 15th day of June, 2008. Contracts will contain no financing or inspection contingencies and Buyers must have their financing and make their own inspections prior to bidding at the auction (please see paragraph 1. above). Escrow Payments will be made payable to and closings will be handled by Investors Title Company, 356 Festus Center Drive, Festus, Missouri. Buyers will be responsible for their own of title insurance. Real estate taxes for the year 2008 will be pro-rated to the date of closing based on 2007 taxes of $4,985.00. Standard closing fees will apply to both Seller's and Buyer's transactions. Informational title commitments reflecting the public record will be made available for potential Buyers for review on day of auction or, by request, earlier. 6.
