TERMS AND CONDITIONS	TERMS & CONDITIONS OF SALE Please review this document carefully. In order to register and receive a Bidder�s Number, a Bidder must sign their Acknowledgment and Acceptance of these General Terms and Conditions of Sale, which will be incorporated into the Real Estate Sales Contract. 1. All properties are being sold "AS IS - WHERE IS". You are encouraged to select a property or properties from our vast list of properties. Our website includes pictures, addresses, amenities and other important details. While all information is believed accurate, it is not guaranteed. The prospective buyer, at their own expense, is advised and will be responsible to conduct their own due diligence and/or inspections prior to the day of the auction. No inspections shall be allowed once the property is sold and a valid contract is signed. The Highest Bidder on each property will be required to execute, as Buyer (�Buyer�), the Real Estate Sales Contract (�Contract�) immediately following the conclusion of the Auction, with no exceptions, and tender the escrow deposits so required. 2. All properties will be available for inspection prior to the auction day. Interested parties are advised to tour and inspect the properties at our scheduled "open houses" or with your agent by appointment. The contact information will be published on our website. 3. All buyers, bidders, brokers and agents must register prior to the start of the auction. Registration forms are provided on our website, by fax, email or at the entrance to the auction. Early registration is recommended. PHOTO IDENTIFICATION IS REQUIRED FOR ADMITTANCE. 4. In order to bid, an initial deposit in the form of a Cashier�s check or Certified Funds of $2,500.00 is required. You may bid on as many properties as you like, however, you must bring a check for each property you intend to purchase. a. All deposits shall be in the form of a Cashier's Check or Certified Funds made payable to Abbatiello, Tiru and Solomon Trust Acct. , as settlement agent b. Upon a successful winning bid an additional deposit will be due in an amount equal to 10% of the final bid price plus the Buyers Premium. c. All non-winning bidder's checks will be returned immediately upon request. 5. A 10% Buyer's Premium will be added to the final bid and included to make up the contract price. 6. The balance of the purchase price is due at closing. The contract and/or sale are NOT contingent on mortgage financing and for all intents and purposes the contract shall be construed as a "cash contract". 7. The Broker and/or any agent associated with said Broker shall be a Single agent of the Seller. All bidders and/or their representatives shall hold the seller, Broker, associated agents and Auctioneer harmless from any and all claims arising from these terms and conditions, the sales contract, the actual auction proceedings, unintentional mistake in advertising and/or website offerings or representations. 8. The buyer shall pay all title and closing costs. The seller will deliver property free and clear of all liens and encumbrances. The Closing (�Closing�) will be on or before 30 days from the effective date. The Closing will be coordinated through the offices of the Settlement Agent; the Law offices of Abbatiello, Tiru and Solomon. 9. The buyer will forfeit all deposits in the event a buyer defaults or does not perform. Buyer shall be responsible for the full 10% Buyer�s Premium and any additional deposits due. Buyer will immediately remit any remaining balance to the closing agent. Upon signing this registration, buyer acknowledges and agrees that the Broker/Auctioneer shall be a party in any action, legal or otherwise, have legal standing to enforce these Terms and Conditions against them and/or to sue the buyer and recover any monies due and any deficiency owed and all other legal remedies available to the Broker/Auctioneer. This clause shall survive these Terms and Conditions, the actual Auction, the Contract for Sale and Purchase and any addenda thereto. Notwithstanding this, upon a buyer�s default, any seller in contract with the buyer shall have all legal remedies and/or actions to collect and retain the full deposit due as set forth in these Terms and Conditions, any amendment, and/or the Contract for Sale and Purchase and any addenda thereto. 10. The bid price for the Property shall be determined by competitive bidding at the Auction. The Property will be sold to the Highest Bidder subject to the Sellers Confirmation. The Seller will have the absolute right to accept or reject any and all bids. 11. All announcements made from the Auction Block will take precedence over these Terms and Conditions, any previously printed material or any other statements made, in writing or orally. Bids will be accepted from registered bidders only. The auction will be video recorded to provide a record of the event. The Auctioneer shall have the final decision in the event of a dispute or tie bid.
