TERMS AND CONDITIONS	BIDDER REGISTRATION: The Auction will be held On-Line ONLY powered by Proxibid.com. The Auction will begin November 17, 2008, 8:00 am CST, and end December 2, 2008, 12:00 pm CST. There is no fee to register. Bank Letter of CREDIT required for minimum of $100,000 to be a registered bidder for this auction. Please fax Bank Letter of Credit to Proxibid directly at 402-505-7981. By bidding you are representing to United Country Theurer Auction/Realty, LLC (�Broker� and/or �Auctioneer�) and the Seller that you have read and agree to be bound by the terms and conditions for this Auction as stated herein. If you do not agree with any of the terms and conditions stated DO NOT BID or you will be bound by those terms and conditions. Sale is not made subject to financing. Sale is made to the highest bidder subject to the confirmation and approval of the Seller. Specific requirements can be waived for individuals that are already established customers with United Country-Theurer Auction/Realty, LLC, by contacting the auction company. BUYER�S PREMIUM & EARNEST DEPOSIT: OPTION 1 ~ GOING BUSINESS: A Buyer�s Premium of 5% will be added to the high bid and included in the total purchase price. High bidder must make a 10% non-refundable deposit by the close of the next business day after conclusion of the Auction. Electronically wired funds is the only form of payment accepted. This deposit is NOT refundable if the Buyer does not carry through with the purchase. Your bidding is not contingent upon financing, so be sure you have arranged financing, if needed, and are capable of paying cash at closing. Closing shall be held on or before December 30, 2008. OPTION 2 ~ REAL ESTATE: A Buyer�s Premium of 5% will be added to the high bid and included in the total purchase price. All items must be removed no later than December 29, 2008. Specific requirements can be waived for individuals that are already established customers with United Country-Theurer Auction/Realty, LLC, by contacting the auction company. CONTRACT/PURCHASE DOCUMENTS: Within 24 hours immediately following close of the Auction, a United Country Theurer Auction/Realty representative will contact you by electronic mail, telephone, or facsimile to provide documents for execution. All purchase documents will be provided to the Buyer and Buyer will be required to sign and return all documents to Auctioneer via overnight delivery. CONDITIONS: The terms and conditions of this Auction will be governed by the Contract for the Sale of Real Estate. The following terms are a summary provided for the convenience of the bidder. A copy of the Contract for Sale of Real Estate is available online (www.theurer.net) and in the Property Information Packet (PIP) and should be reviewed prior to the Auction. All properties sell �AS IS, WHERE IS� with no warranties of any type, expressed or implied, as to the merchantability, usability, fitness, for a particular purpose, or any matter of whatsoever type or nature. Any improvements/repairs which may need to be done to satisfy lender requirements or otherwise will be the responsibility of the Buyer. All information advertised or stated was derived from sources believed to be correct but is not guaranteed. All property dimensions are only approximations. The Real Estate will be sold free and clear of all liens. Property will be sold subject to confirmation of the high bid by the Seller(s) within 72 hours of conclusion of the Auction. Any surveys desired or required will be the sole cost and responsibility of the Buyer and are not a contingency of the sale. The property will be sold subject to any easements and building use restrictions of record. The Real Estate DOES NOT SELL contingent upon financing, acceptable post-auction inspection, acceptable environmental reports, surveys, use requirements, other property sales and purchases, or any other matter whatsoever. This listing may be withdrawn and/or modified without notice at any time. INSPECTION: Prospective bidders shall rely entirely on their own information, judgment and inspection of the property and records. Bidders can and should inspect prior to the Auction. Acceptable inspection after the Auction is not a contingency of your bidding so be sure you have inspected the property to your satisfaction prior to the Auction. Please note the advertised Inspection/Preview Dates. AGENCY: United Country Mackey Realty are Licensed Real Estate Brokers in Missouri and are acting as agents of the Seller. CLOSING: The balance of the purchase price and closing costs will be due at the closing on or before December 30, 2008. Real estate taxes, rent, and other apportionable items, if any, as well as water and sewer charges, will be prorated to date of closing. Seller shall pay the cost of preparing the deed, one half of owner�s title insurance, and its own closing costs. Purchaser shall pay for one-half of owner�s title insurance policy, lender�s policy, and their own recording costs, taxes, fees, and closing expenses. Each party hereto shall be responsible for paying its own legal fees incurred under this Contract whether or not closing occurs. BROKER COOPERATION: A 2% commission based on the High Bid (exclusive of Buyer�s Premium) will be paid to any properly licensed real estate broker whose Buyer/ Bidder is the successful purchaser for this property and who actually closes and pays the Total Contract Sale Price for this Property. To earn the commission, participating broker must (1) Accompany their Buyer/Bidder upon initial visit to open house/preview or schedule private showing; (2) formally register Buyer/Bidder on Auctioneer�s Broker Registration Form with both Buyer/Bidder and Broker/Salesperson signatures. (3) Complete Broker Registration Forms shall be faxed to United Country Theurer Auction/Realty, LLC, at 620.326.5357, to be received no later than 9:00 am, November 26, 2008. Broker must be licensed in the State of Missouri. It will be the responsibility of the Broker to verify receipt by United Country-Theurer Auction/Realty of the registration by calling 620.326.7315. Broker further agrees that: (1) Broker will not claim any exceptions to the foregoing procedures. Broker agrees that no oral registration will qualify Broker for commission; (2) Broker�s commission will be due upon final closing of the purchase by his Buyer/Bidder with all consideration paid in full; (3) only the first registration of prospective Buyer(s)/Bidder(s) will be accepted and honored; (4) commission will ONLY be paid at the time of closing and will be disbursed by Closing Agent; (5) Agents/Brokers acting as principals or employees, affiliates or immediate family members are not eligible for this commission; (6) commission will not be paid to Agent/Broker registering anyone who has received information from or has been contacted by United Country-Theurer Auction/Realty, LLC or United Country Mackey Realty; and, (7) Broker shall hold harmless and indemnify United Country-Theurer Auction/Realty LLC, and United Country Mackey Realty, including its reasonable attorney fees, from any and all claims with regard to such commission. CONDITIONS OF DEFAULT: If any conditions contained herein are not complied with by the Buyer, Auctioneer may, in addition to asserting all remedies available by law, including the right to hold defaulting Buyer liable for the purchase price, either a) cancel the sale, retaining as liquidated damages any payment made by such buyer, b) resell the property at Public Auction or privately on seven days� notice to such buyer, or c) take such other action as it deems necessary or appropriate. If Auctioneer resells the property, the original defaulting Buyer shall be liable for the payment of any deficiency in the purchase price and all costs and expenses, the expenses of both sales, reasonable attorney�s fees, commissions, incidental damages and all other charges due hereunder. STATE LAWS: The respective rights and obligations of the parties with respect to the conditions of sale and the conduct of the auction shall be governed and interpreted by the laws of Sumner County, Kansas. By bidding at an auction, whether present in person, or by agent, by written bid, telephone, online or other means, the Buyer shall be deemed to have agreed to the Terms and Conditions of Sale and have consented to the jurisdiction of the courts sitting in Missouri.
