TERMS AND CONDITIONS	TERMS:: There is a 20% Buyer�s Premium applied to ALL purchases, please bid accordingly. Methods of payment accepted are all major Credit Cards. Absentee and phone bids are accepted. Live auction phone bids are welcome and must start with a minimum opening bid of $100. All live phone, absentee, phone bidders must pre-register with the auction company by Friday 5:00pm. You can pre-register by phone at 757-899-5010. Live internet bidding is welcome and will be facilitated through www.proxibid.com. Please review this document carefully. In order to register and receive a Bidder�s Number, a Bidder must sign their Acknowledgment and Acceptance of the General Terms and Conditions of Sale, which will be incorporated into the Bidder Contract. This document will be known as the Bidder Contract. This Bidder Contract entered into between the Bidder whose name is signed below and the Auctioneer(s) of United Country-Triangle J Auction Co. LLC. Bidder agrees that the terms listed below shall govern this auction and he/she agrees with them. Additional terms may be posted or announced from the auction block which are just as binding as the below terms. 1. AUCTION TIME AND PLACE: a. The Auction (�Auction�) shall be held on July 4, 2009, 517 North County Drive, Wakefield, VA 23888. b. The Auction will commence at approximately 10:00A.M., EST. 2. AUCTION REGISTRATION: a. Registration will begin one (1) hour prior to the Auction time. Registration is required to become a qualified and eligible bidder (�Bidder�) at the Auction. To register, a prospective Bidder must: b. Provide Bidder�s full name, company name, residence/business addresses with telephone numbers, cellular telephone number, facsimile number, email address, a State valid driver�s license number and the name (s) and / or entity in which the Bidder will take title to the Property. c. Sign an acknowledgement that the Bidder has read and agrees to be bound by these General Terms and Conditions of Sale. 3. SUCCESSFUL BID, TOTAL PURCHASE PRICE, PAYMENT, SALES TAX: a. Full payment�all items must be paid for in full before Bidder leaves premises. Nothing may be removed until it is settled for. b. There is a Buyer�s Premium on all merchandise, please bid accordingly. c. Payment for purchases must be made by cash, approved personal or company check, any major credit card. Letters of Credit or Guarantee must be for this auction only, along with proof of identity. d. The amount of (i) the Successful Bid AND (ii) 13% (20% on internet bids) of the Successful Bid (�Buyer�s Premium�), added together, will be the Total Purchase Price (�Total Purchase Price�) for the Property to be purchased by the Buyer under the Contract. e. All sales are subject to State Sales Tax laws. Sales tax will be collected unless an appropriately executed Sales Tax Exemption form is submitted at the time of registration. f. Bidder agrees not to stop payment on checks or disallows a sight draft and is responsible for any expenses due to collection of bad check. g. In the event of non-payment of bad check, the Auctioneer reserves the right to repossess, at any time, at your location, the merchandise involved without any notification. 4. REMOVAL OF ITEMS, SHIPPING: a. Buyer agrees to remove all purchased property from the auction site at the conclusion of the auction. b. No items may be removed from the auction site until a paid receipt is presented to any staff member of the auction company. c. Vehicles, trailers, equipment or any titled item may not be removed until funds have cleared the auctioneer�s bank. d. Storage fees are applicable for items remaining on auction site after removal deadline. e. Items not removed from the auction site after five (5) days will be subject to our standard storage fee of $5.00/day/item. f. Items left over 15 days will be deemed abandoned. Abandoned items will be sold without notification to offset storage fees and handling. g. Buyer is responsible of all items needing shipped. Craters and Freighters is the shipping company of choice for the auction company. Buyer must make all arrangements and pay all associated fees for shipping their items. h. Any item not shipped within 15 days of the auction date will be deemed abandoned and are subject to be sold as stated in f. above. 5. INSURANCE: a. Buyer agrees to have full insurance coverage on all vehicles, equipment, trailers, etc. purchased at the auction and is responsible for any damage in removal of purchases. 6. BUYER�S NOTE: a. NO WARRANTY�ALL ITEMS ARE SOLD AS IS, WHERE IS, WITHOUT GUARATEE OF ANY KIND. b. The descriptions of items appearing in advertising prior to this auction are believed to be correct. Nevertheless, neither those descriptions nor any oral statements made by the Owner (or his agents or officers), or the Auctioneers (or his agents or officers) concerning any item shall be construed as a warranty, either expressed or implied. c. The Seller, Triangle J Auction Co LLC, their representatives, attorneys, agents, and sub-agents, assume no liability for errors or omissions in this or any other property listing or advertising or promotional/publicity statements and material. The Seller, Triangle J Auction Co. LLC, their representatives, attorneys, agents and sub-agents, make no guarantee as to the accuracy of the information herein contained or in any other property listing or advertising or promotional/publicity statements and material. Neither the Seller nor Triangle J Auction Co. has any obligation to update this information. Neither Triangle J Auction Co. nor the Seller their agents, sub-agents, have any liability whatsoever for any oral or written representations, warranties, or agreements relating to the Items (including information appearing in this advertisement or announcements at the time of the Auction) except as is expressly set forth in the Contract. d. All Bidders are encouraged to inspect the Items prior to placing any bid at the Auction and the Successful Bidder, as Buyer, acknowledges that it has a reasonable opportunity to inspect and examine the condition of the Items and make inquiries of applicable pertaining to said Items prior to the Auction as Buyer has deemed necessary or desirable. I, the Bidder, have examined this merchandise and accept it the way it is. e. Competitive bidding is an essential element of an Auction sale, and such a sale should be conducted fairly and openly with full and free opportunity for competition among bidders. Any conduct, artifice, agreement, or combination the purpose and effect of which is to stifle fair competition and chill the bidding, is against public policy and will cause the sale to be set aside. Collusion/Bid Rigging is a Federal Felony punishable by imprisonment and fine. Triangle J Auction Co will report all illegal conduct to the F.B.I. and cooperate with any prosecution. f. Any Item may be withdrawn from the Auction at any time without notice and is subject to prior sale. g. The Auctioneer in its absolute sole discretion reserves the right to amend, negotiate, modify, or add any terms and conditions to these General Terms and Conditions of Sale and to announce such amendments, modifications, or additional terms and conditions, at anytime. h. The highest bid shall be the Successful Bid only if same is acceptable to and accepted by the Auctioneer as evidenced by the Auctioneer crying SOLD. At this time the Successful Bidder, Buyer has entered into a binding legal contract and must execute payment immediately at the conclusion of the auction. i. Buyer agrees that though the Buyer may not have physically examined the items purchased, that ALL SALES ARE FINAL, no returns, and the Buyer cannot cancel the sale of purchase made at this auction. j. The highest Bid shall be considered an agreement to buy and is final. If you are unsure about anything regarding the Item, do not place a bid. Inspection of the Items before making any bids is strongly recommended. k. After a Bidder has won the bid with his/her high bid, they have become the new owners of the item, even though they may not have paid for the item yet. l. The item(s) becomes the full and sole responsibility of the Buyer at this point. And Buyer assumes all risk of loss and damage. m. Buyers should guard their items accordingly. n. Bidders/Buyers acknowledge the fact the auction is being recorded and consent to the same. 7. ANNOUCEMENTS, DISPUTES: a. All announcements from the Auction Block at the Auction will take precedence over all previously printed material and any other oral statements made. b. In the event of a dispute over any matter, the Auctioneer shall make the sole and final decision and will have the right either to accept or reject the final bid or re-open the bidding. c. The Auctioneer shall designate the winning bidder after each item is auctioned. d. The Auctioneer�s designation of a Buyer shall be final. e. Back-up bids will be recorded and received. Should the Item not sell due to disputer, the Auctioneer will have the option to pursue back-up bids or withdraw the Item from the sale. 8. ABSENTEE/TELEPHONE/ONLINE BIDDING: a. Absentee / Telephone / Online Bids will be accepted, subject to all terms and conditions of the Auction. Interested bidders must obtain and sign the proper forms by contacting Triangle J Auction Co. LLC, and tender the required deposit(s) or information. 9. REPRESENTATIONS: a. All information was derived from sources believed to be correct, but is not guaranteed. Bidders shall rely entirely on their own information, judgment, and inspection of the Property and records. Neither Seller nor Auctioneer its Agents makes any representation or warranties as to the accuracy or completeness of any information provided. All sizes, dimensions, drawings are approximations only. 10. BID PRICE: a. The bid price for the Property shall be determined by competitive bidding at the Auction. Some Items will be sold Absolute to the highest Bidders with no minimums or reserves and some Items will be sold Subject to Final Approval by the Auctioneer. 11. ACKNOWLEDGMENT AND ACCEPTANCE: a. The Undersigned Bidder acknowledges receipt of a copy of these General Terms and Conditions of Sale, and having read and understood the provisions set forth therein, accepts same and agrees to be bound thereby.
