TERMS AND CONDITIONS	Terms and Conditions 1. WARRANTIES: The highest bidder (�Buyer�) agrees that each item of property is sold �as is�, �where is� no warranties expressed or implied of any kind, nature or description including without limitation any warranty of merchantability, condition (whether or not discoverable), usability, fitness for a particular purpose, or as to brand, identity or quality of the unit, materials, components, or workmanship. There is no rejection or refund. 2. INSPECTION: The Buyer relied exclusively on a PRE-AUCTION PERSONAL INSPECTION of the PROPERTY and not on any other representations, advertisements, catalogs, or other documents made by Seller or Auctioneer. 3. RISK OF LOSS: The Buyer takes delivery, assumes full responsibility and all risk of loss for said property, including but not limited to, loss from accident, theft, vandalism, fire, lack of security, malicious mischief, flood, windstorm, earthquake, lightning, and all ACTS OF GOD from the time the Auctioneer accepted the offer (highest bid) of the Buyer. 4. EQUIPMENT REMOVAL: The Buyer agrees to remove the purchased property from this auction location as stated on the Auction Invoice. Should Buyer fail to so remove, Auctioneer or Seller may hire a transport and storage Entity to remove and store said property and all charges for such shall be the responsibility of and paid by the Buyer. The Buyer agrees to indemnify and hold harmless Seller, Auctioneer and its agents against all damage, liabilities, or claims or causes of actions arising out of said removal and storage. In addition to damages, interest, specific performance and/or other remedies at law, Buyer agrees that Auctioneer has absolute right to repossess this purchased property until Buyer pays good funds in full. 5. ABSENTEE BIDDING: Bidders who are unable to physically attend the auction may choose to bid on line through www.catauctions.com/onlinebidding or via submission of an absentee bid. Upon receipt of the absentee bid form, Cat Auction Services staff members will represent the highest received absentee bid per lot. Completion of the registration and absentee bid forms is required for representation and must be received thirty (30) minutes prior to the start of the auction. A deposit of ten thousand dollars ($10,000) or 25% of the total absentee bid amount, whichever is greater, is required via wire transfer from all bidders submitting an absentee bid. A two percent (2%) buyer�s premium is charged on all winning off site bids, whether placed on line or via absentee bid. Other administrative and handling fees may apply. 6. SETTLEMENT: The United States and state laws and penalties for a failure to settle and pay shall apply. The Buyer agrees to make complete settlement on all purchases during or immediately after the conclusion of the auction on this date in U.S. Dollars, Bank Certified Funds or Equivalent, or Wire Transfer, unless an alternative method is agreed upon in advance of the auction. SIGHT DRAFTS AND CREDIT CARDS ARE NOT ACCEPTED. Please note: All purchases made via www.catauctions.com/onlinebidding and/or the Cat Auction Services absentee bid program are subject to a purchase fee of two percent (2%) of the purchase price per lot. In addition, a handling fee of ten percent (10%) will be added to all lots selling for less than two thousand five hundred dollars ($2,500), regardless of method of purchase; on site, on line, or via absentee bid. These fees apply only to buyers. No charges or fees apply to unsuccessful bidders. 7. WIRE TRANSFERS: Buyers whose principal place of business is not located in the U.S. must pay by Wire Transfer only. For complete wiring instructions and any questions, please call 866-750-9432. 8. TAX, LICENSES: All sales are subject to the sales tax and/or other applicable tax laws. Buyer is responsible for government issued licenses, safety and/or inspection certificates and agrees not to use any identification, trade name, licenses and/or certificates authorized to or used by the Seller. 9. CERTIFICATE OF TITLE INFORMATION: The Buyer appoints Associated Auction Services, LLC d/b/a Cat Auction Services as its Agent to accept delivery of the State issued CERTIFICATE OF TITLE properly executed, with recorded liens thereon properly released, and to forward said TITLE to the Buyer via Certified U.S. Mail or equivalent as follows: (A) If Buyer pays in U.S. Dollars or U.S. Bank Cashier�s Check or equivalent, the Title will be mailed within three (3) working days or (B) if Buyer pays by Company or Personal Check or equivalent, the Title will be mailed in ten (10) banking days after the auction. 10. INSURANCE REVOCATION, EFFECTIVE: The buyer has full liability insurance on said property purchased as required by law. The auctioneer reserves the right to revoke any bid number at any time. This registration agreement is effective for all purchases by the Undersigned from the Auctioneer for five years from the date of this agreement. However, the Undersigned will need a new registration number for each auction. 11. VERIFICATION: Due to increased enforcement of the Financial Privacy Act, banks have adopted restrictive guidelines to verifying funds. If you intend to pay by personal or company checks, we require a Letter of Guarantee or equivalent at or before the time of registration. If you register without a Letter of Guarantee or equivalent your purchases will be subject to verification and you may not receive immediate possession of your purchases. 12. WAIVER: The undersigned waives as to (him/herself), itself, its partners, officers, directors, shareholders, agents and employees and any related entities all claims, damages and expenses (including but not limited to attorney�s fees and other legal costs and expenses) and assumes all risk that may relate to or arise out of its presence at the site of the Auction (�Premises�) and to the condition of the Premises including, but not limited to, any injury or damage to person or property, including, but not limited to, to the Equipment. The undersigned does hereby acknowledge and understand that the undersigned and its agents and subcontractors must carry their own insurance for any such injury or damage and that the undersigned and its subcontractors are assuming all risks of any such injury or damage. 13. PRIVACY POLICY: Associated Auction Services, LLC d/b/a Cat Auction Services is committed to providing customers, dealers, and suppliers with the best value in products and services. By registering with or contacting us through Associated Auction Services, LLC d/b/a Cat Auction Services family of web sites, you agree that any information or comments you provide may be shared between Associated Auction Services, LLC d/b/a Cat Auction Services its affiliated companies and dealers, and used without restriction to process customer orders and improve or market our products and services. We will not sell or rent your information to any third party, and will exercise reasonable efforts to keep the information secure. Associated Auction Services, LLC d/b/a Cat Auction Services recognizes and respects your privacy. Any and all suits for the construction, interpretation, validity or enforcement of this Agreement shall be instituted and maintained in the County or District Court of Hennepin County, Minnesota, which the parties agree is a reasonable and convenient forum. This Agreement shall be construed and enforced according to the laws of Minnesota. IN THE EVENT THE UNDERSIGNED IS THE HIGHEST BIDDER, THE UNDERSIGNED AGREES TO THE ABOVE TERMS.
