Terms Of Sale
Sale Method - The real estate will be offered as eleven tracts and as a total unit. All bids are open for advancement until the Auctioneer announces that the property is sold or that the bidding is closed. Bidding increments are solely at the discretion of the Auctioneer. No absentee or telephone bids will be accepted without prior approval of the Auction Company and Seller. All decisions of the Auctioneer are final.
Minerals - All mineral interests owned by the Seller, if any, will be conveyed to the Buyer(s).
Real Estate Taxes - Real estate taxes for 2013 payable in 2014 will be paid by the Seller. All future taxes will be the responsibility of the Buyer(s).
Conditions - This sale is subject to all easements, covenants, leases and restrictions of record. Each bidder is responsible for conducting, at their own risk, their own inspections, inquiries, and due diligence concerning the property. All property is sold on "As is - Where is" basis with no warranties or guarantees, express or implied, made by the auctioneer or seller.
Sales Contract and Title - Immediately upon conclusion of the auction the high bidder(s) will enter into a real estate sale contract and deposit with the Auctioneer the required earnest payment. The seller will provide an owner's policy of title insurance in the amount of the purchase price. The cost of such title insurance and any escrow closing services will be shared equally by the Seller and Buyer. Sale is not contingent upon Buyer (s) financing.
Earnest Money - A 10% earnest money payment is required on the day of the auction. The earnest payment may be paid in the form of cash or check. All funds will be held by Farmers National trust account.
Possession - Possession will be granted at closing on or before May 29, 2014, subject to 2014 farm leases. See agent for lease details. CRP: Owners share of all CRP contracts will be prorated to the date of closing. Buyer will assume any and all contracts (the “Contracts”) related to participation in the Conservation Reserve Program (“CRP”), Wetlands Reserve Program (“WRP”), or similar federal program, which provides payments to the landowner for taking farmland out of production for conservation and related purposes. The Buyer agrees that they will assume or renew each of said Contracts, as required by the Farm Service Agency or Natural Resource Conservation Service office serving the county in which the real estate is located, promptly upon closing, and will provide copies thereof to the Seller, or its agent. Buyer shall be solely responsible for, and will indemnify Seller, Seller’s lessees and agents from all fines, penalties, contract payment forfeitures, and other costs and expenses resulting from Buyer’s failure to timely assume, renew, or comply with the terms of, said Contracts.
Survey - At the Seller's option, the Seller shall provide a property survey sufficient to provide good title where there is not an existing legal or where new boundaries are created. The Seller and Buyer(s) will each pay one-half of the survey cost.
Closing - The projected closing date is on or before May 29, 2014. The balance of the purchase price will be payable at closing in cash, a guaranteed check, or by wire transfer.
Agency - Farmers National Company and its representatives are acting as Agents of the Seller
Approval of Bids - Final sale is subject to the approval of the Seller
