GamblingInvest.com Buyer Agreement This Auction Buyer Agreement (the "Agreement") is between Domain Invest Ltd, a Seychelles company doing business as GamblingInvest.com ("GamblingInvest.com" or "we") and you ("Buyer" or "you"), as a potential purchaser of domain names at the Gambling Domains - London auction on January 26 - February 2, 2011. By signing this Agreement you agree to be bound by the following terms and conditions: GamblingInvest.com responsabilities We shall award each domain to the highest bidder at the close of bidding; We shall collaborate with Buyer to facilitate payment into an escrow account and then handle the transfer of domain ownership from the old to the new owner; We shall place bids on behalf of buyers who submitted absentee bids, but avoid from participating to the auction as direct buyers. Buyer Responsabilities You understand and agree that by making an offer to buy a domain you automatically enter into a legally binding contract to purchase it. If at the close of the bidding your offer is the highest one, you agree to pay for the domain within five (5) business days from the end of the auction. You agree to cooperate with the seller and to follow GamblingInvest.com’s instructions to ensure the prompt transfer of the domain ownership. You also agree that GamblingInvest.com is not responsible or liable in any way for an unsuccessful transfer when the Buyer and/or the seller are uncooperative with the instructions provided by us to complete the transaction. You acknowledge that not all domain extensions are alike and certain top-level domains carry expensive registration fees or particular restrictions. You agree to be solely responsible for conducting all research necessary to make yourself familiar with the registration fees, restrictions or any other rule about a domain of interest before submitting an offer. You also agree to not hold liable GamblingInvest.com, its parent company Domain Invest Ltd, its shareholders, directors, employees or any of its affiliates or partners, whether you failed to perform a research on, but not limited to, the existence of conflicting rights, registration restrictions and/or expensive registration fees for any domain you bought through GamblingInvest.com. You further acknowledge and agree that any domain is subject to transfer, suspension, cancellation or modification pursuant to the application to its registration of any relevant dispute policy, including, but not limited to, the ones from the UDRP and the WIPO, any other policy adopted by the Internet Corporation for Assigned Names and Numbers (ICANN) or similar governmental or successor organization and policies adopted by domain registrars and ccTLD registration authorities. Currency used on GamblingInvest.com The US Dollar will be the exclusive currency used for all transactions and payments on GamblingInvest.com. Publication Rights You agree that GamblingInvest.com has the right to publish the names of the domains sold as well as their purchase prices on GamblingInvest.com’s site and in other places for reference and promotional purposes. Term The Term of this Agreement shall be from Buyer’s acceptance to the conclusion of Gambling Domains - London auction on February 2, 2011. Indemnification You agree to defend, indemnify and hold harmless GamblingInvest.com, its parent company Domain Invest Ltd, its shareholders, directors, employees and affiliates from any and all claims, demands, actions or proceedings and all liabilities, losses, damages, costs and expenses, including attorneys’ fees and court costs arising from your failure to perform any of your obligations to us in relation to the services we provide or from a breach by you of the terms of this Agreement. This indemnification obligation shall survive the termination or expiration of this Agreement. Limitation of Liability You clearly understand and agree that in no event GamblingInvest.com will be liable to you for any direct, indirect, incidental or consequential damage, including, but not limited to, damages for loss of opportunity resulting from, but not limited to, the inability to use our services and/or web site; delays in the transmission of bids; failure of electrical and/or telecommunications systems due to events within or beyond our control; errors, omissions or misstatements in any of the information and/or services provided under this Agreement. Disclaimer of Warranties All services, information and data provided to you under this Agreement are provided “AS IS” and “AS AVAILABLE” basis, without making any representation and/or warranties of any kind, whether express or implied, that GamblingInvest.com’s services, information and data will meet your requirements or that they will be uninterrupted, timely, secure or error free. We also make no warranty about the quality and availability of our customer support. No advice or information obtained by you from any of GamblingInvest.com’s shareholders, directors or employees through any form of communications, whether oral or written, or through GamblingInvest.com’s web site shall create any warranty not expressly made with this Agreement.
