THE SCHOOL BOARD OF COUNTY, FLORIDA Timed Auction of Surplus School Buses & Service Equipment June 2022 Terms & Conditions of Sale 1. SCOPE: The School Board of Broward County will conduct a public auction of District Owned School Buses and Service Equipment that have been declared as surplus to the needs of The District. 2. AUCTION DATE: • This auction will be a Timed On-Line Auction. Bids will be received on the National Auction Company Proxibid.com web page. The auction will be conducted on Proxibid.com. • Registration for the auction will be through Proxibid.com and bidders will be required to provide credit card information as a means of verification only. • The auction opens on June 16, 2022, at 3:00 P.M. and will end on June 21, 2022, with lots beginning to close at 3:00 P.M. • The auction website will make use of staggered closing times but all bids will close on June 21, 2022. • All bids will be reported to The School Board of Broward County. All top bid prices will be reported as the High Bidder and Back-Up Bidder to Broward County School Board personnel. Bids received after published closing times will not be accepted except those that fall under the conditions of Extensions of Bid described in the paragraph that follows. • Extensions of Bid: In the event a bid or bids are made during the last two minutes of an auction, the ending time for the auction will be extended for an additional two minutes. Extensions will continue until no further bids are received within the last two minutes of the auction. Please note that the National Auction Company or The School Board of Broward County has no control over this process. • All School Buses & Service Equipment being offered in this Time-Bid Auction will be sold Subject to the Confirmation of the Seller, The School Board of Broward County. In the event top bid prices are not confirmed by Broward County personnel, items may be withdrawn from the auction and offered at another time at the discretion of the School Board of Broward County. It is expected all top bid prices will be confirmed and Top Bidders will be notified their bid has been accepted within 48 hours from the time the auction closes. • The Auctioneer reserves the right to establish minimum amounts for opening bids and bid increases. In the event bidders do not comply with the minimum amounts stated, bids received that are less than those set forth will not be accepted. 3. PLACE: The Auction will be conducted by the National Auction Company on their web page on the Proxibid.com auction platform. 4. INSPECTION OF VEHICLES: • School Buses and Service Equipment included in this auction are not available for Preview because they are located at restricted Bus Terminals. Pre Event Previews can be scheduled by appointment with the Auctioneer and his staff. Those desiring to preview the auction inventory should contact George Richards to schedule (954-658-5033). • Potential bidders/purchasers will not be permitted to drive any vehicle prior to the auction. ALL BUSES AND SERVICE EQUIPMENT ARE OFFERED IN AS-IS CONDITION. • Information has been provided pertaining to each School Bus included in the auction which describes its current condition to the best ability of the Auction Company. Descriptions provided are not guaranteed but based upon the ability of the Auctioneer and his staff. Photographs and descriptions will be published on the Auctioneer’s website. • The information included on the Website includes videos of Vehicles that could be started. Some of the Buses might have been driven from other Broward County School Board Terminals for the convenience of sale. It is possible that inventory that is noted as “Non-Run” could be started and driven. To the extent possible, Broward School Board mechanics will assist in the process of starting Buses that are shown to have Running Engines. • Every effort has been made to accurately illustrate and describe the condition of every Vehicle included in this auction, however, it is possible all defects were not observed. It is also possible between the time auction materials were gathered and when School Buses are picked up, charging levels in batteries could have changed. The fact auction materials indicate a School Bus could be started will not be cause for any sale to be voided. Every effort will be made to assist as possible. • Potential bidders should be aware that buses shown in videos with engines running and being moved, may have been out of service for an extended period of time. Purchasers/Bidders should not assume the buses offered in this auction can be driven long distances. Purchasers/Bidders are encouraged to check fluid levels before driving the buses. • The Buses that are included in this auction are exempt from odometer/mileage statements. Odometer readings/hour meter readings included in the information are those reported by the seller and might not be accurate. As possible, odometer readings stated in the auction materials have not been verified. CONDITIONS OF SALE AND DELIVERY: • The School Board of Broward County, as a casual seller, is selling surplus School Buses & Vehicles at Public Auction, for cash, to the highest bidders. • Announcements made by the Auctioneer will be made through the website and e-mailed to all registered bidders. • Despite efforts to avoid withdrawal of items from the sale list after being published and/or advertised, there could be circumstances when such action is necessary. The School Board of Broward County reserves the right to remove any School Bus from the auction and reserves the right to accept or reject any/all bids. • All School Buses & Service Equipment are offered and sold “as is” and “where-is.” The School Board of Broward County and National Auction Company makes no warranties or guarantees, expressed or implied to the operation or condition of any vehicle. SALES TAX • Florida Sales Tax will be calculated on the full purchase price, that is, the top bid price plus a 7% Buyer’s Premium. • National Auction Company does not collect sales tax on titled motor vehicles which must be paid at the time of title transfer. • Dealers who purchase for resale must provide a copy of their 2022 resale certificate to National Auction Company by e-mail to: lori@natlauction.com. In the event this certificate is not provided, sales tax will be charged. • Sales Tax will be collected on non-titled items. • In the event a 2022 Resale Certificate is not provided, Sales Tax will be included on the Auction Company Invoice. 9. MOTOR VEHICLE TITLE TRANSFERS: • Purchasers are responsible for transferring Certificates of Title into their name or company name as listed on the Invoice provided by National Auction Company. Transfer of title must be completed within 10 days of the date set forth on the Invoice provided by the National Auction Company. • Registration fees and Sales Tax must be paid at the time Certificates of Title are transferred. • All Certificates of Title will be closed to include the name of the Purchaser, their address, the date the vehicle was sold, and the purchase price. • Licensed Motor Vehicle dealers must provide a copy of their license and Sales Tax Resale Number at the time of bidder registration. • Open titles will not be given to purchasers. 10. DEFAULT: • If a buyer fails to complete the sale under the conditions set forth or agreed to by The School Board of Broward County, any deposits and/or payments made to the account of the School Board will be forfeited and vehicles will remain the property of the School Board. • If a Top Bidder fails to make payment in full after being notified their bid has been accepted, at the discretion of The School Board of Broward County and/or the Auctioneer, the bidder’s name may be subject to removal from the mailing list and may not be permitted to participate in future auctions. Failure to make final payment may result in removal from future bidder registration (s) for other auctions conducted on the Proxibid platform. 11. REMOVAL: • School Buses & Vehicles must be removed from Broward County School Board Terminals on or before June 24, 2022, by 3:00 P.M. The School Board of Broward County and National Auction Company are not responsible for any vehicle (s) remaining at the auction site after completion of the auction. • Please be aware School Board policy does not permit anyone other than their licensed drivers/employees to remove any running Bus from any of the Terminals. It is recommended purchasers make contact with the Auctioneer to schedule times for removal from the School Board property. As noted in the auction materials, Buses included in this auction are currently located at four locations. Entry to any Terminal requires admittance with an Auction Staff member and photographic identification. • Entry times are restricted by operation schedules at Broward County School Board Terminals. School Board staff members and/or drivers are not available after 2:30 P.M. • It will be the responsibility of Top Bidders (Purchasers) to arrange for their own transportation and removal of Non-Running School Buses & Vehicles from the School Board. • Bidders/Purchasers should be prepared to have School Buses designated in auction materials as non-runners towed. AUTOMOTIVE LIFTS LOCATED AT STRANAHAN SENIOR HIGH SCHOOL • This auction includes Hunter Alignment equipment located at Stranahan Senior High School, 1800 SW 5 Place, Fort Lauderdale, Florida 33312. • Purchasers of this equipment must remove it by appointment only which will be confirmed by Auction Staff and School Board Personnel. • Purchasers must bring their own tools and equipment required to remove the equipment from Broward School Board property. • Broward County Public Schools does not have a forklift at this location and purchasers must provide their own. • The Purchaser (s) of the automotive equipment will be required to (a) provide proof of necessary certification(s), licensure, and adequate insurance, including, but not limited to, crane and rigging liability, general liability, workman’s compensation, automobile, and liability; (b) at least two (2) business days prior to removal of the automotive equipment, supply a Certificate of Insurance naming Broward County Public Schools and National Auction Company as additional insureds under general liability and crane and rigging liability coverages; and ©) coverage must be in the minimum amount of $1,000,000.00 per occurrence; $2,000,000.00 aggregate Liability for general liability; $1,000,000.00 Workman’s Compensation and Physical Damage $1,000,000.00 and contain a requirement for 30-day advance written Notice of Cancellation. • If you or your company are not able to provide this insurance, please do not bid on this equipment. REGISTRATION: All bidders are required to register on the National Auction Company auction page of Proxibid.com. Each Bidder will be assigned a Bidder’s Number. The Bidder’s Number will be used and that number will be recorded for that sale. 14. COLLUSION • Collusion is defined as an agreement among competitive bidders to raise, fix or otherwise maintain the price at which goods or services are sold. • Auctions are governed under the Sherman Act enacted in 1890. The Sherman Acts prohibits any agreement among competitors to fix prices, rig bids, or engage in other anti-competitive activity. • Violations of the Sherman Act may be considered to be a felony and punishable by fines established in the Act. • Bidders planning to participate in this auction should be aware violations that come to the attention of the National Auction Company will be reported to Broward County School Board for action they determine to be appropriate. 15.
