CAROLINA ESTATE SALES & AUCTION SERVICES L.L.C. AND SELLER DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE. Assets are sold in their actual current condition, with all faults and defects, and with all errors of description. Carolina Estate Sales & Auction Services L.L.C. ’s liability to a purchaser will never exceed the purchase price actually paid for an asset. Bidders accept all auction assets with all faults, whether or not immediately apparent. Bidders are responsible for ascertaining actual current condition through personal inspection and careful review of the description, pictures, video and/or support documentation. Every bidder agrees that his or her decision to bid and the amount he or she bids have been based solely on his or her own independent inspection and evaluation of the auction assets. Bidders are strongly advised by Carolina Estate Sales & Auction Services L.L.C. to take care to satisfy all questions or concerns about the auction process, bidding process or auction assets before placing a bid. Buyers are responsible for the cost of auction asset mobilization, disassembly, rigging, transport, insurance and all other costs related to physical transfer of auction assets from their location at the time auction bidding ends. ABANDONED ASSET POLICY: Carolina Estate Sales & Auction Services L.L.C. may declare an asset abandoned when a buyer fails to make full payment by the stated payment deadline or when a buyer fails to remove an asset from the auction site by the stated removal deadline. When Carolina Estate Sales & Auction Services L.L.C. declares an asset abandoned, it may take the following steps in its sole discretion: ALL WINNING LOTS BY BIDDER MUST BE REMOVED DURING THE SCHEDULED DATE AND TIMES FOR AUCTION PICK UP. NO HOLDING OVER - UNCLAIMED ITEMS ARE CONSIDERED ABANDONED / FORFEITED - NO REFUNDS OR EXCHANGES FOR UNCLAIMED LOTS. LOCAL PICK-UP BUYERS RESPONSIBILITY: All buyers are responsible for picking up their purchases and to bring their own help for the removal of furniture or large heavy items. Also, buyers are to bring their own tools, packing supplies for removal of fragile items and/or group lots. Furthermore, Carolina Estate Sales & Auction Services, L.L.C. is not responsible for any damage to any merchandise purchased should the buyer receive any assistance from any person affiliated with Carolina Estate Sales & Auction Services, LLC to remove, load or assist caring out any merchandise for the buyer whether buyer has requested assistance or not. Buyer agrees to assume all responsibility. ABSENTEE BIDS: While Carolina Estate Sales & Auction Services L.L.C. will make every effort to assist bidders, we do not accept absentee bids. Please utilize the maximum bid feature. BID RESCISSION AND REJECTION: Carolina Estate Sales & Auction Services L.L.C. reserves the right to rescind or reject any and all bids. BID RETRACTION: Retractions will not be accepted once the bid has been placed by bidder. Credit Cards: Credit cards on file with Proxibid will be charged immediately after the auction completion and if necessary, other times after the auction for reasons deemed necessary for payment in Full. An auction asset becomes the full responsibility of the buyer at the close of bidding on that asset, and the buyer immediately assumes all risk of loss and damage to the asset. AUCTIONEER’S DISCRETION: Carolina Estate Sales & Auction Services L.L.C. has full discretion to modify the date and time, order, and details of the sale of any asset or conduct of any auction for any reason or no reason at all, including but not limited to technical issues, emergencies, and convenience of Carolina Estate Sales & Auction Services L.L.C. or the seller. CHOICE OF LAW AND VENUE; WAIVER: In any matters in which Carolina Estate Sales & Auction Services L.L.C. and/or any of its employees, officers, directors, shareholders, agents or assigns is made a party, the law of the State of South Carolina shall apply, without regard to its law pertaining to conflict of laws, and any dispute shall be decided in the courts of Greenville County, South Carolina. All claimants consent to the personal jurisdiction of those courts. Auctioneer may waive any provision of these Terms and Conditions, but only in writing. No such waiver shall affect any other provisions of these Terms and Conditions, nor shall it amount to a permanent waiver of that particular provision. INTERNET BIDDING: Carolina Estate Sales & Auction Services, L.L.C. is providing Internet auction bidding as a service to Bidder provided by Proxibid.com. Bidder acknowledges and understands that this service may or may not function correctly the day of the auction. Under no circumstances shall Bidder have any kind of claim against Carolina Estate Sales & Auction Services, LLC or anyone else if the Internet service fails to work correctly before or during the timed auction. Carolina Estate Sales & Auction Services, LLC will not be responsible for any missed bids from any source. Internet bidders who desire to make certain their bid is acknowledged should use the proxy-bidding feature and leave their maximum bid 24 hours before the auction ends. Carolina Estate Sales & Auction Services, L.L.C. reserves the right to withdraw or re-catalog items in this auction. DEBT COLLECTION AND COLLECTION CHARGES. The buyer agrees to pay all reasonable attorney fees and other costs incurred by Carolina Estate Sales & Auction Services, LLC in its efforts to collect unpaid funds due from the buyer under this agreement, regardless of whether or not a civil suit is actually commenced. The buyer agrees that a fee of 2% of the outstanding balance per month be added to any unpaid balance due Carolina Estate Sales & Auction Services, LLC. Buyer also authorizes Carolina Estate Sales & Auction Services, LLC to debit their credit card placed on file by buyer with Carolina Estate Sales & Auction Services, LLC for any past due amounts owing by buyer under this agreement. The buyer expressly stipulates that this agreement shall be exclusively governed by and construed in accordance with the laws of the State of South Carolina of the United States of America to the exclusion of any other law or conflicts of law principal that might otherwise apply to the law of any other jurisdiction. Exclusive jurisdiction and venue for any dispute, controversy or claim arising out of or in connection with this agreement shall only be placed in the Federal or State Court with competent jurisdiction located in Greenville, South Carolina. In this regard, the parties consent to the exercise of personal jurisdiction by said courts in any such action.
