BIDDER TERMS & CONDITIONS OF SALE
These Bidder Terms & Conditions of Sale ("Terms") govern all auctions conducted by South Texas Auctioneers, LLC ("Auctioneer"). By registering for and/or participating in any auction, whether in person or online, each bidder ("Bidder") agrees to be bound by these Terms in their entirety.
1. REGISTRATION & ELIGIBILITY
Each individual or entity bidding at auction, or whose agent bids on their behalf, is referred to as a "Bidder." No person or entity may bid unless properly registered and issued a bidder number by Auctioneer.
Required registration information includes, but is not limited to:
- Bidder name and/or legal company name
- Physical address
- Email address
- Contact phone numbers (office and/or mobile)
- Valid government-issued photo identification
- Company EIN (if applicable)
2. JURISDICTION & VENUE
By registering and bidding, Bidder irrevocably submits to the exclusive jurisdiction and venue of the state courts located in Hidalgo County, Texas, for any dispute arising out of or related to the auction, these Terms, or any purchase. Bidder expressly waives any objection to venue or jurisdiction elsewhere.
In any action arising from non-payment or breach of these Terms, the prevailing party shall be entitled to recover reasonable attorneys fees, court costs, and related expenses, in addition to any other relief awarded.
3. AUCTION CATALOG & ANNOUNCEMENTS
All auction catalogs, listings, descriptions, photographs, and advertisements are provided solely as a guide and are not warranties or representations of any kind. Oral announcements made by the Auctioneer at the time of sale shall govern and supersede all prior written or printed materials.
4. PAYMENT TERMS
4.1 Payment Deadline
Unless otherwise announced in writing, full payment is due within three (3) business days following the auction date after the Bidders winning bid is accepted. Business days exclude Saturdays, Sundays, and federal holidays. Failure to remit full payment within this timeframe shall constitute a default and will subject Bidder to the remedies outlined in Section 8 (Default & Non-Payment).
4.2 Accepted Forms of Payment
Payment must be made in U.S. funds by cash, wire transfer, ACH payment, cashiers check, company check, personal check, or credit/debit card. Auctioneer reserves the right to reject any form of payment.
Checks (company or personal) must fully clear Auctioneers bank before any purchased items will be released.
All credit and debit card payments require completion of a Credit Card Authorization Form. A processing fee of 3.5% will be added to all credit and debit card transactions.
4.3 Buyers Premium & Fees
- Onsite buyers: 10% buyers premium
- Internet buyers: 12% buyers premium
(Buyers premium is calculated on the final hammer price.)
- Applicable sales tax
- Texas Emissions Reduction Plan (TERP) surcharge, if applicable
- $105.00 administration fee on all titled items
5. AS-IS, WHERE-IS; NO CANCELLATIONS
ALL ITEMS ARE SOLD AS IS, WHERE IS, AND WITH ALL FAULTS. THERE ARE ABSOLUTELY NO RETURNS, REFUNDS , EXCHANGES, OR LOT CANCELLATIONS UNDER ANY CIRCUMSTANCES.
Bidders are strongly encouraged to inspect all items prior to bidding. Failure to inspect does not relieve Bidder of responsibility for payment. Auctioneer and Seller make no representations or warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or condition.
All sales are final at the fall of the gavel.
6. TITLE, RISK OF LOSS & REMOVAL
Upon acceptance of the final bid, title and risk of loss immediately pass to the Bidder. Auctioneer and Seller shall have no responsibility for loss, theft, damage, or destruction of any purchased item after the sale.
No item may be removed until paid in full and a paid invoice is presented. Bidder is solely responsible for loading, transportation, insurance, and compliance with all laws.
BIDDER TERMS CONTINUED
Lot # 2 (Sale Order: 2 of 375)
Load-out hours are Monday through Friday, 8:30 a.m. to 5:00 p.m., and select Saturdays as announced. No loading will be permitted after dark.
Pickups at the Grand Meadow, Minnesota and Midland, Texas locations are by appointment only. Bidders must contact Auctioneers office in advance to schedule all pickups at these locations.
Bidders shall have fifteen (15) business days following the auction date to remove all purchased items, unless otherwise announced in writing. Items not removed within this timeframe shall be subject to a storage fee of Twenty-Five Dollars ($25.00) per item, per day, which must be paid in full prior to the release of any item.
If any item is not removed on or before one hundred eighty (180) calendar days following the auction date, storage fees shall be deemed to have accrued at $25.00 per day per item (totaling $4,500.00 at 180 days). At that time, Seller and/or Auctioneer shall have the right, but not the obligation, to relist and resell the item in a subsequent auction. Bidder hereby authorizes Seller to act as Bidders attorney-in-fact for purposes of transferring any right, title, or interest in the item.
Upon resale, Seller may charge Bidder an auction commission measured against the final resale price, together with any losses, administrative fees, and associated costs. All resale proceeds shall be applied first to accrued storage fees, commissions, administrative fees, resale costs, and any other amounts owed. Any remaining balance shall be mailed to Bidder at Bidders last known address.
Alternatively, Seller may elect not to resell the item and instead pursue legal action against Bidder and/or Company for recovery of the full purchase price, accrued storage fees, attorneys fees, court costs, and related expenses. If judgment is obtained and the item remains in Sellers possession, Seller may enforce collection of the judgment against the item to the fullest extent permitted by law.
8. DEFAULT & NON-PAYMENT
8.1 No Payment / No Contact
If a Bidder fails to make full payment and/or Auctioneer is unable to contact Bidder regarding payment within seven (7) calendar days from the auction date, the account shall be deemed in default.
8.2 Administrative Fee & Relisting
Upon default, an administrative fee equal to five percent (5%) of the original hammer price, plus any applicable buyers premiums, taxes, and fees, shall be assessed and added to the outstanding invoice balance. In addition, and at the sole discretion of the Auctioneer, the purchased item(s) may be relisted and offered for sale in a subsequent auction without further notice to the Bidder.
8.3 Application of Proceeds
Any proceeds from the resale shall be applied first to accrued interest, buyers premiums, storage fees, administrative fees, resale costs, and the outstanding balance of the prior unpaid invoice.If the resale proceeds are insufficient to satisfy the total amount owed, Bidder remains fully liable for the deficiency.
8.4 Legal Action
In the event of non-payment or deficiency after resale, Auctioneer and/or Seller may pursue litigation in Hidalgo County, Texas, to recover all amounts owed, including interest, attorneys fees, court costs, and related expenses.
9. AUCTIONEER DISCRETION
Auctioneer reserves the right to:
- Withdraw, combine, divide, or modify lots
- Refuse any bid
- Resolve bidding disputes by re-opening or reselling the lot
- Enforce these Terms as deemed appropriate
10. CONDUCT & RESTRICTIONS
Bidders may not conduct private sales, solicit business, or transact outside business on auction premises without written consent of Auctioneer. Violations resulting in damages shall subject Bidder to liability, including attorneys fees.
11. SURVIVAL & FINALITY
All disclaimers, waivers, and indemnities contained herein shall survive the sale and delivery of any purchased item. These Terms constitute the entire agreement between Auctioneer and Bidder.
12. ACKNOWLEDGMENT
By bidding, Bidder acknowledges that they have read, understood, and agreed to these Terms & Conditions of Sale, including the absolute no-cancellation policy and default remedies.

TERMINOS Y CONDICIONES DE VENTA PARA POSTORES
Estos Terminos y Condiciones de Venta para Postores (Terminos) rigen todas las subastas realizadas por South Texas Auctioneers, LLC (Subastador). Al registrarse y/o participar en cualquier subasta, ya sea de manera presencial o en linea, cada postor (Postor) acepta quedar obligado por la totalidad de estos Terminos.
1. REGISTRO Y ELEGIBILIDAD
Toda persona fisica o juridica que realice ofertas en la subasta, o cuyo agente oferte en su nombre, se denomina Postor. Ninguna persona o entidad podra ofertar sin estar debidamente registrada y sin que el Subastador le haya asignado un numero de postor.
La informacion requerida para el registro incluye, entre otros datos:

El Subastador se reserva el derecho de rechazar el registro o los privilegios de oferta de cualquier persona o entidad, a su sola discrecion.
2. JURISDICCION Y COMPETENCIA
Al registrarse y ofertar, el Postor se somete de manera irrevocable a la jurisdiccion y competencia exclusivas de los tribunales estatales ubicados en el Condado de Hidalgo, Texas, para cualquier disputa que surja de o este relacionada con la subasta, estos Terminos o cualquier compra. El Postor renuncia expresamente a cualquier objecion a la jurisdiccion o competencia en otro lugar.
En cualquier accion derivada del incumplimiento de pago o de estos Terminos, la parte vencedora tendra derecho a recuperar honorarios razonables de abogados, costas judiciales y gastos relacionados, ademas de cualquier otro resarcimiento que se otorgue.
3. CATALOGO DE SUBASTA Y ANUNCIOS
Todos los catalogos de subasta, listados, descripciones, fotografias y anuncios se proporcionan unicamente como referencia y no constituyen garantias ni declaraciones de ningun tipo. Los anuncios verbales realizados por el Subastador en el momento de la venta prevaleceran y sustituiran cualquier material escrito o impreso previo.

4.1 Plazo de Pago
Salvo que se anuncie lo contrario por escrito, el pago total debera realizarse dentro de los tres (3) dias habiles posteriores a la fecha de la subasta, una vez aceptada la oferta ganadora del Postor. Los dias habiles excluyen sabados, domingos y feriados federales. El incumplimiento de este plazo constituira un incumplimiento y sujetara al Postor a los remedios establecidos en la Seccion 8 (Incumplimiento y Falta de Pago).
4.2 Formas de Pago Aceptadas
El pago debera realizarse en fondos de los Estados Unidos mediante efectivo, transferencia bancaria, pago ACH, cheque de caja, cheque empresarial, cheque personal o tarjeta de credito/debito. El Subastador se reserva el derecho de rechazar cualquier forma de pago.
Los cheques (empresariales o personales) deberan liquidarse completamente en el banco del Subastador antes de que cualquier articulo adquirido sea liberado.
Todos los pagos con tarjeta de credito o debito requieren la cumplimentacion de un Formulario de Autorizacion de Tarjeta de Credito. Se aplicara una comision de procesamiento del 3.5% a todas las transacciones con tarjeta de credito y debito.
4.3 Prima del Comprador y Cargos
- Compradores presenciales: prima del comprador del 10%
- Compradores por internet: prima del comprador del 12%
Los cargos adicionales pueden incluir:
- Impuesto sobre ventas aplicable
- Recargo del Texas Emissions Reduction Plan (TERP), si corresponde
- Tarifa administrativa de USD $105.00 en todos los articulos con titulo
TODOS LOS ARTICULOS SE VENDEN TAL CUAL, DONDE SE ENCUENTRAN Y CON TODOS SUS DEFECTOS. NO EXISTEN DEVOLUCIONES, REEMBOLSOS, CAMBIOS NI CANCELACIONES DE LOTES BAJO NINGUNA CIRCUNSTANCIA.
Se recomienda encarecidamente a los Postores inspeccionar todos los articulos antes de ofertar. La falta de inspeccion no libera al Postor de su obligacion de pago. El Subastador y el Vendedor no otorgan ninguna declaracion ni garantia, expresa o implicita, incluyendo, entre otras, garantias de comerciabilidad, idoneidad para un proposito particular o condicion.
Todas las ventas son definitivas al momento de la caida del martillo.
6. TITULO, RIESGO DE PERDIDA Y RETIRO
Una vez aceptada la oferta final, el titulo y el riesgo de perdida se transfieren inmediatamente al Postor. El Subastador y el Vendedor no asumiran responsabilidad alguna por perdida, robo, dano o destruccion de cualquier articulo adquirido despues de la venta.
Ningun articulo podra retirarse hasta que haya sido pagado en su totalidad y se presente una factura marcada como pagada. El Postor es el unico responsable de la carga, transporte, seguro y cumplimiento de todas las leyes aplicables.
CONDICIONES PARA LOS LICITADORES (CONTINUACION)

Los horarios de retiro son de lunes a viernes, de 8:30 a.m. a 5:00 p.m., y algunos sabados segun se anuncie. No se permitira la carga despues del anochecer.
Los retiros en las ubicaciones de Grand Meadow, Minnesota, y Midland, Texas, se realizan unicamente con cita previa. Los Postores deberan comunicarse con la oficina del Subastador con anticipacion para programar dichos retiros.
Los Postores dispondran de quince (15) dias habiles posteriores a la fecha de la subasta para retirar todos los articulos adquiridos, salvo que se anuncie lo contrario por escrito. Los articulos no retirados dentro de este plazo estaran sujetos a una tarifa de almacenamiento de veinticinco dolares (USD $25.00) por articulo, por dia, la cual debera pagarse en su totalidad antes de la liberacion de cualquier articulo.
Si algun articulo no se retira en o antes de ciento ochenta (180) dias calendario posteriores a la fecha de la subasta, las tarifas de almacenamiento se consideraran acumuladas a razon de USD $25.00 por dia por articulo (totalizando USD $4,500.00 a los 180 dias). En ese momento, el Vendedor y/o el Subastador tendran el derecho, pero no la obligacion, de volver a listar y revender el articulo en una subasta posterior. El Postor autoriza por la presente al Vendedor a actuar como su apoderado para efectos de transferir cualquier derecho, titulo o interes en el articulo.
Tras la reventa, el Vendedor podra cobrar al Postor una comision de subasta calculada sobre el precio final de reventa, junto con cualquier perdida, tarifas administrativas y costos asociados. Los ingresos de la reventa se aplicaran primero a las tarifas de almacenamiento acumuladas, comisiones, tarifas administrativas, costos de reventa y cualquier otro monto adeudado. Cualquier saldo restante sera enviado por correo al Postor a su ultima direccion conocida.
Alternativamente, el Vendedor podra optar por no revender el articulo y, en su lugar, iniciar acciones legales contra el Postor y/o la Empresa para recuperar el precio total de compra, las tarifas de almacenamiento acumuladas, honorarios de abogados, costas judiciales y gastos relacionados. Si se obtiene una sentencia y el articulo permanece en posesion del Vendedor, este podra ejecutar el cobro de la sentencia contra el articulo en la maxima medida permitida por la ley.
8. INCUMPLIMIENTO Y FALTA DE PAGO
8.1 Falta de Pago / Falta de Contacto
Si un Postor no realiza el pago total y/o el Subastador no puede contactar al Postor respecto al pago dentro de los siete (7) dias calendario posteriores a la fecha de la subasta, la cuenta se considerara en incumplimiento.
8.2 Tarifa Administrativa y Reventa
En caso de incumplimiento, se aplicara una tarifa administrativa equivalente al cinco por ciento (5%) del precio original de martillo, mas cualquier prima del comprador, impuestos y cargos aplicables, la cual se anadira al saldo pendiente de la factura. Ademas, y a la sola discrecion del Subastador, los articulos adquiridos podran volver a listarse y ofrecerse para la venta en una subasta posterior sin previo aviso al Postor.
8.3 Aplicacion de los Ingresos
Cualquier ingreso derivado de la reventa se aplicara primero a intereses acumulados, primas del comprador, tarifas de almacenamiento, tarifas administrativas, costos de reventa y al saldo pendiente de la factura original impaga. Si los ingresos de la reventa son insuficientes para cubrir el monto total adeudado, el Postor seguira siendo plenamente responsable por la diferencia.
8.4 Accion Legal
En caso de falta de pago o de saldo pendiente tras la reventa, el Subastador y/o el Vendedor podran iniciar acciones legales en el Condado de Hidalgo, Texas, para recuperar todos los montos adeudados, incluidos intereses, honorarios de abogados, costas judiciales y gastos relacionados.

El Subastador se reserva el derecho de:
- Retirar, combinar, dividir o modificar lotes
- Rechazar cualquier oferta
- Resolver disputas de ofertas reabriendo o revendiendo el lote
- Hacer cumplir estos Terminos segun lo considere apropiado
10. CONDUCTA Y RESTRICCIONES
Los Postores no podran realizar ventas privadas, solicitar negocios ni efectuar transacciones comerciales fuera del proceso de subasta dentro de las instalaciones, sin el consentimiento previo y por escrito del Subastador. Las violaciones que resulten en danos daran lugar a responsabilidad para el Postor, incluidos honorarios de abogados.
11. VIGENCIA Y CARACTER DEFINITIVO
Todas las exenciones de responsabilidad, renuncias e indemnizaciones contenidas en el presente documento sobreviviran a la venta y entrega de cualquier articulo adquirido. Estos Terminos constituyen el acuerdo completo entre el Subastador y el Postor.
12. ACEPTACION
Al ofertar, el Postor reconoce que ha leido, entendido y aceptado estos Terminos y Condiciones de Venta, incluyendo la politica absoluta de no cancelacion y los remedios por incumplimiento.
