TERMS AND CONDITIONS
Auction Firm’s Disclaimer: All information contained herein was derived from sources deemed to be reliable and is believed correct, but is not guaranteed. Buyers shall rely entirely on their own inspections and/or judgment. Any announcements on day of auction take precedence over any printed material or oral statements. Semple and Associates, Inc. Auctioneers is acting exclusively on behalf of the seller in this transaction.
Real Estate: $5,000.00 must be deposited by (1) Official Bank Check, or (2) wire transfer in order to be approved to bid online. The balance making up 10% of the contract purchase amount will be accepted by personal or business check. Checks shall be due within 48 hours of being declared the high bidder. Bidders shall also be required to print out 3 copies of the Purchase Agreement and fax all signed agreements to Semple and Associates, Inc. at (513) 724-1286. The Purchase Agreement can be found in the “Property Information Packet” located at www.SEMPLESELLS.com.
(1) Official Bank Check - shall be made payable to Semple and Associates, Inc. - Escrow Account and sent overnight via overnight express service to:

If a bid is not successful, funds will be returned via overnight delivery on the next business day.
(2) Wire Transfer funds – contact William Beck at (800) 783-6113 for wiring instructions.
Once the above deposit is received, you will be issued a password which will allow you to bid online.
If you are declared the successful buyer, you will be notified by email that your Purchase Agreement will now be executed. Once the balance of your deposit equaling 10% of the contract amount is received, your completed Purchase Agreement will be sent via overnight mail.
Buyer Premium: An eleven percent (11%) buyer premium shall be added to the high bid amount to determine the purchase contract amount.
Taxes shall be prorated to date of closing.
Preview: A property preview is scheduled for September 6 (Noon –1:00PM), or by appointment with auction firm. Bidders who bid from off site and were not present at the preview understand and acknowledge that they may not be able to inspect the property as well as if they had examined it in person. By bidding On Line you waive your right to inspection. It is the bidders responsibility to determine condition, age, value or other determining factors. Auctioneers shall not be responsible for any errors or omissions in the description of the property unless it is a material and intentional misrepresentation.
Closing shall take place on or before October 7, 2006. Time is of the essence.
As-Is: Bidders agree that everything is sold as-is and that they may not retract their bid(s). By their bidding Bidders shall be the sole judge of value.
Broker Participation: Up to a three percent (3%) commission shall be paid to any Ohio licensed real estate Broker/agent whose prospect purchases the real estate at the auction and closes in full. Brokers must register client with auction firm by September 6, 2006 at 11:00AM (EST) and complete the acceptable forms. Forms can be found on the auction firm’s website at www.SEMPLESELLS.com. Checks will be sent to agents’ Broker for disbursement.
Vehicles and equipment: Official Bank Check, wire transfer, MasterCard, or Visa will be accepted as payment on these purchases. Winning bidders shall call William Beck at (800) 783-6113 for payment instructions. Purchases shall be paid in full within 24 hours of auction, and prior to removal.
Titles: Titles to titled vehicles will be mail certified mail return receipt within 5 business days of receiving your full guaranteed payment.
Buyer Premium: A fifteen percent (15%) buyer premium will be added to your high bid amount to determine your full purchase amount.

Removal: Removal and transport of purchases shall be the buyer(s) responsibility. On line purchases cannot be removed until payment in full is made by guaranteed funds. In no event can purchases remain on the premises past September 13, 2006. No removal will be allowed over the weekend (Sept. 9 & 10).
Semple and Associates, Inc. Auctioneers is providing internet live bidding through an agreement with www.PROXIBID.com as a service to the bidder. Bidder acknowledges and understands that this service may or may not function correctly on the day of the auction. Under no circumstances shall the bidder have any claim against Semple and Associates, Inc. or anyone else if the service fails to work correctly before or during the live auction. Semple and Associates, Inc. will not be responsible for any missed bids from any source. Internet bidders who desire to make certain their bid is acknowledged should use the proxy-bidding feature and leave their maximum bid 24 hours before the auction begins.
