Lot #1 (Sale Order 1 of 51)

Each Bidder whether live at auction or bidding through the internet, by registering and obtaining a bidders number agrees to submit him/her/itself to venue and jurisdiction over the individual and/or company (Company) to the courts of Hidalgo County, Texas. In the event of non-payment for a successful bid, suit can be brought against such individual and/or entity in Hidalgo County, Texas and such individual and/or entity waives any rights to any other venue and/or jurisdiction. The prevailing party shall be entitled to recover reasonable and necessary attorneys fees and out-of-pocket expenses from the non-prevailing party or parties, which fees and expenses may be set by the fact finder in trial of such action or may be enforced in separate action brought for that purpose and shall be in addition to any other relief that may be awarded.
7. The auction catalog is merely a guide without any warranties expressed or implied. Auctioneers announcement will supersede any printed material.
8. A successful Bidder must pay his/her/its purchase not later than the end of the day of the auction when he/she was the successful Bidder. The end of the day means when the auction stops for the day.
9. Bidder must pay Bidders purchases in full in Cash, Wire Transfer, Cashier's Check or Check. However, a personal check or a company check must be accompanied by the Bidders or Companys Bank Letter of Credit.
10. Each successful Bidder is to pay:

  • A ten percent (10%) Buyers Premium for onsite Bidders. Internet Bidders will pay a twelve percent (12%) Buyers Premium. The percentage is measured against the final bid/sale price. 
  • Sales Tax will be added to the purchase price of all taxable items. If applicable, the Texas Emissions Reduction Plan (TERP) Off-Road, Heavy-Duty Diesel Equipment Surcharge will also be added to the purchase price.
  • A one hundred-five dollar ($105.00) administration fee will be added to the purchase price of all titled items. Additionally, there will be a ten-dollar ($10.00) e-tag fee for requested temporary plates.

11. Bidder accepts each item that he/she/it purchased at the auction in its physical, as is, where is condition. There are not any warranties as to the items sold at auction. Each Bidder is deemed and agrees to inspect each item prior to bidding to satisfy him/her/itself as to the condition of each item. The Bidder accepts that there are not any warranties, expressed or implied by law whether warranties of workmanship, suitability, merchantability and/or fitness for a particular purpose. Further, Bidder waives any warranties at law or in equity that could pertain under the Texas Uniform Commercial Code. Each item will be subject to the language contained on Exhibit A hereto attached.
12. The conditions of provisions of sale may be modified by the auctioneer at the time of the auctioning off a particular item and each Bidder is subject to those terms and conditions.
13. The auctioneer reserves the right to group, modify, increase, diminish or delete auction lots at the auctioneers sole discretion or to sell items in bulk if such action serves the best interest of the Seller.
14. Auctioneer will receive bids from any responsible and registered Bidder who makes his/her/its bid known so long as he or she conducts themselves in an orderly manner.
15. Auctioneer may refuse to accept any bid which is but a trifling advanced over the prior bid or which contains conditions not acceptable to the Auctioneer or Seller. Auctioneer will settle any bidder dispute by reselling the lot.
16. The item will be considered sold without exception upon the final gavel by the auctioneer for that item and will become the sole responsibility of the buyer. Possession of purchased items will be granted upon payment in full.
17. Bidder is solely responsible for removing, insurance on, arranging, loading, and securing of load any items purchased.
18. Upon the award of bid, title and risk of loss, damage to or destruction of the purchased item, passes to the purchaser and auctioneer will not have any liability for any damage to or destruction of any such item. The items left overnight or for a length of time are not in the charge of the Seller or auctioneer, not resulting in any bailment agreement. However, there is a charge of $25.00 per day, as noted below.

19. Bidders may not remove any purchased item until paid in full. Security will not allow the removal of purchases without a receipt of payment. The office will assist you with the receipt of payment for your transportation on the items purchased at this auction. Load out hours are between 8:30 AM - 5:00 PM, M-F and on select Saturdays. Loading will not occur after dark.
20. All items must be removed within the time announced at the sale, at purchaser's sole cost and risk. However, items that are not removable immediately (heavy objects or equipment) may be left on the premises at Bidders risk for a period not to exceed fifteen (15) days from the date of the end of the auction. If the items are not removed after the time forestated, then a daily storage fee of $25.00 per item or any part thereof will be charged to Bidder which must be paid PRIOR to the removal of said item. If the item is not removed on or before 180 days after the end of the auction [accumulating $25/day storage fees amounting to Four Thousand Five Hundred Dollars ($4,500.00), then Seller is at liberty to reauction the item charging Bidder an auction fee of 10% measured against the final bid/sale price, plus any loss and associated costs, naming Seller as Bidders attorney-in-fact for the transfer of any right or title of the item. After deduction of all costs, expenses (including the accumulated storage fees to date of resale) and cost of commissions, the remainder will be mailed to Bidder at their last known address OR Seller may elect not to resale but to bring suit against Bidder and/or Company for the recovery of the sales price plus storage fees, attorneys fees and related expenses/costs. If judgment is obtained and Bidders property is still in possession of Seller, Seller may exercise the collection of its judgement against such item.
23. Bidders are prohibited from conducting or transacting any business on the auction premises other than with Auction Co. without the express permission of auctioneer. Bidders who violate this provision and such violation results in damages to Seller or auctioneer will be liable to make them whole including the cost of court costs and attorneys fees (including all associated costs in conjunction with a lawsuit).
24. All rights, privileges and power reserved to auctioneer in these Terms of Sale shall be deemed reserved and granted to auctioneer's employees, advertising representatives, and all owners for whom the items are being sold.
25. We appreciate your attendance. Please present any questions or request at once to the auctioneer or his assistants. We hope that you will enjoy our methods and make advantageous purchases.

The Seller of the item, by and through the auctioneer, is hereafter referred to as Seller and the successful purchaser is hereinafter referred to as Bidder. Bidder accepts the item purchased (hereinafter referred to as Property) by being the successful bidder at auction subject to the following:
A. BIDDER IS ACCEPTING THE PROPERTY AS IS", "WHERE IS" AND WITH ALL FAULTS", INCLUDING LATENT DEFECTS, INCLUDING NON-WORKING, OUT OF REPAIR, BROKEN AND/OR DEFECTIVE PARTS.
B. SELLER DOES NOT AND HAS NOT MADE AND SPECIFICALLY DISCLAIMS ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND OR CHARACTER, EXPRESSED OR IMPLIED, WITH RESPECT TO THE PROPERTY, (EXCEPT THOSE SET OUT IN THE WARRANTY OF TITLE, IF ANY) INCLUDING, BUT NOT LIMITED TO: TAX CONSEQUENCES; PHYSICAL OR ENVIRONMENTAL CONDITIONS; OPERATING HISTORY; VALUATION; GOVERNMENTAL APPROVALS, GOVERNMENTAL LAW AND/OR REGULATIONS; THINGS RELATING TO OR AFFECTING THE PROPERTY, INCLUDING, WITHOUT LIMITATION:

2) THE MANNER OR QUALITY OF THE CONSTRUCTION OR MATERIALS INCORPORATED INTO ANY OF THE PROPERTY.
3) THE MANNER, QUALITY, AND/OR STATE OF REPAIR OR LACK OF REPAIR OF THE PROPERTY; AND
4) THE PERFORMANCE OF THE WORK ON THE PROPERTY
C. BIDDER ACCEPTS THE PROPERTY SOLELY BASED UPON BIDDERS INSPECTION, TESTING AND/OR SOLE JUDGMENT AFTER BIDDER INSPECTED THE PROPERTY FOR WHATEVER PURPOSE DEEMED NECESSARY OR APPROPRIATE BY BIDDER AND BIDDER HAS SATISFIED HIM/HER/ITSELF IN REFERENCE TO SAME.
D. BIDDER HAS NOT RELIED UPON, EITHER DIRECTLY OR INDIRECTLY, ON ANY REPRESENTATION OR WARRANTY OF SELLER OR ANY AGENT OF SELLER;
E. BIDDER REPRESENTS THAT:
1) BIDDER IS A KNOWLEDGEABLE PURCHASER OF AUCTION ITEMS, OR IF NOT, THEN BIDDER HAS HIRED KNOWLEDGEABLE PERSON(S) TO ASSIST BUYER IN THE EXAMINATION, INSPECTION AND PURCHASE OF THE PROPERTY.
2) BIDDER IS RELYING SOLELY ON BIDDERS OWN EXPERTISE AND INSPECTIONS IN PURCHASING THE PROPERTY; OR THE EXPERTISE AND INSPECTIONS OF THE EXPERTS HIRED BY BUYER UPON WHICH BUYER IS SOLELY RELYING AS TO THE CONDITION OF THE PROPERTY.
3) BIDDER HAS CONDUCTED SUCH INSPECTIONS AND INVESTIGATIONS OF THE PROPERTY AS BIDDER DEEMS NECESSARY, INCLUDING, BUT NOT LIMITED TO, THE PHYSICAL AND ENVIRONMENTAL CONDITIONS THEREOF AND RELIES SOLELY ON SAME.
F. THERE ARE NOT ANY ORAL AGREEMENTS, WARRANTIES AND/OR REPRESENTATIONS, COLLATERAL TO OR AFFECTING THE PROPERTY BY SELLER, ANY AGENT OF SELLER OR ANY THIRD PARTY.
G. THE TERMS AND CONDITIONS OF THIS EXHIBIT WILL EXPRESSLY SURVIVE THE CLOSING, NOT MERGE WITH THE PURCHASE.
H. BIDDER FURTHER ACKNOWLEDGES AND AGREES THAT THE PROVISIONS OF THIS PARAGRAPH WERE A MATERIAL FACTOR IN THE DETERMINATION OF THE PURCHASE PRICE OF THE PROPERTY.
I. AS PART OF THE CONSIDERATION IN THE PURCHASE OF THE PROPERTY, BIDDER WAIVES ANY CAUSES OF ACTION, CLAIMS, AND/OR DAMAGES BUYER COULD CLAIM AGAINST SELLER IN THE FUTURE AND WAIVING THE DISCOVERY RULE.

Cada postor, ya sea que este en vivo en la subasta o que oferte a traves de Internet, al registrarse y obtener un numero de postor acepta someterse a la sede y a la jurisdiccion sobre el individuo y/o la empresa (Compania) en los tribunales del Condado de Hidalgo, Texas. En el caso de que no se pague la oferta ganadora, se podra entablar una demanda contra dicho individuo y/o entidad en el condado de Hidalgo, Texas, y dicho individuo y/o entidad renuncia a cualquier derecho a cualquier otra sede y/o jurisdiccion. La parte vencedora tendra derecho a recuperar los honorarios razonables y necesarios de los abogados y los gastos de bolsillo de la parte o partes no vencedoras, cuyos honorarios y gastos podran ser fijados por el juez que determine los hechos en el juicio de dicha accion o podran ser ejecutados en una accion separada interpuesta para tal fin y seran adicionales a cualquier otra reparacion que pueda ser otorgada.
7. El catalogo de la subasta es simplemente una guia sin ninguna garantia expresa o implicita. El anuncio del subastador sustituira a cualquier material impreso.
8. El adjudicatario debe pagar su compra a mas tardar al final del dia de la subasta en que fue el adjudicatario. El final del dia significa cuando la subasta se detiene por el dia.
9. El Postor debe pagar sus compras en su totalidad en efectivo, transferencia bancaria, cheque de caja o cheque. Sin embargo, un cheque personal o un cheque de empresa debe ir acompanado de la carta de credito bancaria del Postor o de la empresa.
10. Cada Licitador seleccionado debera pagar:
A. Un diez por ciento (10%) de prima del comprador para los licitadores in situ. Los licitadores por Internet pagaran una prima del comprador del doce por ciento (12%). El porcentaje se mide contra el precio final de oferta/venta.
B. El impuesto sobre las ventas se anadira al precio de compra de todos los articulos sujetos a impuestos. Si corresponde, tambien se agregara al precio de compra el recargo del Plan de Reduccion de Emisiones de Texas (TERP) para equipos diesel de uso pesado fuera de carretera.
C. Se anadira al precio de compra de todos los articulos con titulo una tasa administrativa de ciento cinco dolares (105,00). Adicionalmente, habra una tarifa de diez dolares ($10.00) de e-tag para las placas temporales solicitadas.
11. El postor acepta cada articulo que ha comprado en la subasta en su condicion fisica, "como esta", "donde esta". No hay ninguna garantia en cuanto a los articulos vendidos en la subasta. Cada Postor se considera y esta de acuerdo en inspeccionar cada articulo antes de ofertar para satisfacerse en cuanto a la condicion de cada articulo. El Postor acepta que no existen garantias, expresas o implicitas por ley, ya sean garantias de "mano de obra", "idoneidad", "comerciabilidad" y/o adecuacion para un fin determinado. Ademas, el Licitador renuncia a cualquier garantia legal o de equidad que pudiera corresponder segun el Codigo Comercial Uniforme de Texas. Cada articulo estara sujeto al lenguaje contenido en el Anexo "A" adjunto.
12. Las condiciones de las disposiciones de venta pueden ser modificadas por el subastador en el momento de la subasta de un articulo en particular y cada Postor esta sujeto a esos terminos y condiciones.
13. El subastador se reserva el derecho de agrupar, modificar, aumentar, disminuir o suprimir "lotes de la subasta" a su sola discrecion o de vender articulos a granel si tal accion sirve al mejor interes del Vendedor.
14. El Subastador recibira las ofertas de cualquier Postor responsable y registrado que de a conocer su oferta siempre que se comporte de forma ordenada.
15. 15. El subastador puede rechazar cualquier oferta que no sea mas que un pequeno avance sobre la oferta anterior o que contenga condiciones no aceptables para el subastador o el vendedor. El Subastador resolvera cualquier disputa de los pujadores mediante la reventa del lote.
16. El articulo se considerara vendido sin excepcion al dar el martillo final el subastador para ese articulo y pasara a ser responsabilidad exclusiva del comprador. La posesion de los articulos comprados se concedera una vez que se haya efectuado el pago completo.
17. El postor es el unico responsable de retirar, asegurar, organizar, cargar y asegurar la carga de cualquier articulo comprado.
18. En el momento de la adjudicacion de la puja, la titularidad y el riesgo de perdida, dano o destruccion del articulo comprado, pasa al comprador y el subastador no tendra ninguna responsabilidad por cualquier dano o destruccion de dicho articulo. Los articulos que se dejan durante la noche o durante un periodo de tiempo no estan a cargo del Vendedor o del subastador, no dando lugar a ningun acuerdo de fianza. Sin embargo, hay un cargo de 30,00 dolares por dia, como se indica a continuacion.

19. Los postores no pueden retirar ningun articulo comprado hasta que se pague en su totalidad. La seguridad no permitira la retirada de las compras sin un recibo de pago. La oficina le ayudara con el recibo de pago para su transporte en los articulos comprados en esta subasta. El horario de carga es de 8:30 a.m. a 5:00 p.m., de lunes a viernes y algunos sabados. La carga no ocurrira despues de que oscurezca.

20. Todos los articulos deben ser retirados dentro del plazo anunciado en la venta, por cuenta y riesgo del comprador. Sin embargo, los articulos que no puedan retirarse inmediatamente (objetos o equipos pesados) podran dejarse en el local por cuenta y riesgo del Postor durante un periodo no superior a quince (15) dias a partir de la fecha de finalizacion de la subasta. Si los articulos no se retiran despues del tiempo previsto, se cobrara al Postor una tarifa diaria de almacenamiento de 25,00 dolares por articulo o parte de el, que debera pagarse ANTES de retirar dicho articulo. Si el articulo no se retira en o antes de 180 dias despues de la finalizacion de la subasta [acumulando cargos de almacenamiento de $25/dia que ascienden a Cuatro Mil Quinientos Dolares ($4,500.00), entonces el Vendedor tiene la libertad de volver a subastar el articulo cobrando al Postor un cargo de subasta del 10% medido contra el precio final de oferta/venta, mas cualquier perdida y costos asociados, nombrando al Vendedor como "apoderado" del Postor para la transferencia de cualquier derecho o titulo del articulo. Despues de la deduccion de todos los costos, gastos (incluyendo los honorarios de almacenamiento acumulados hasta la fecha de la reventa) y el costo de las comisiones, el remanente se enviara por correo al Postor a su ultima direccion conocida O el Vendedor puede optar por no revender y entablar una demanda contra el Postor y/o la Compania para la recuperacion del precio de venta mas los honorarios de almacenamiento, los honorarios de los abogados y los gastos/costos relacionados. Si se obtiene la sentencia y la propiedad del Postor aun esta en posesion del Vendedor, el Vendedor puede ejercer el cobro de su sentencia contra dicho articulo.
23. 23. Se prohibe a los postores realizar o tramitar cualquier negocio en las instalaciones de la subasta que no sea con la Compania de Subastas, sin el permiso expreso del subastador. Los postores que violen esta disposicion y dicha violacion resulte en danos para el Vendedor o el subastador seran responsables de resarcirlos, incluyendo el costo de las costas judiciales y los honorarios de los abogados (incluyendo todos los costos asociados en conjunto con una demanda).
24. Todos los derechos, privilegios y poderes reservados al subastador en estas Condiciones de Venta se consideraran reservados y concedidos a los empleados del subastador, a los representantes de la publicidad y a todos los propietarios para los que se venden los articulos.

Anexo "A"
El Vendedor del articulo, por y a traves del subastador, se denomina en lo sucesivo "Vendedor" y el comprador adjudicatario se denomina en lo sucesivo "Postor". El Postor acepta el articulo adquirido (en adelante denominado "Propiedad") al ser el adjudicatario en la subasta con sujecion a lo siguiente:
A. EL POSTOR ACEPTA LA PROPIEDAD "TAL COMO ESTA", "DONDE ESTA" Y "CON TODOS LOS DEFECTOS", INCLUIDOS LOS DEFECTOS LATENTES, INCLUYENDO LAS PIEZAS QUE NO FUNCIONAN, QUE NO ESTAN REPARADAS, ROTAS Y/O DEFECTUOSAS.
B. EL VENDEDOR NO OFRECE NI HA OFRECIDO Y RECHAZA ESPECIFICAMENTE CUALQUIER GARANTIA O REPRESENTACION DE CUALQUIER TIPO O CARACTER, EXPRESA O IMPLICITA, CON RESPECTO A LA PROPIEDAD, (EXCEPTO LAS ESTABLECIDAS EN LA GARANTIA DE TITULO, SI LA HAY) INCLUYENDO, PERO SIN LIMITARSE A: LAS CONSECUENCIAS FISCALES; LAS CONDICIONES FISICAS O MEDIOAMBIENTALES; EL HISTORIAL DE FUNCIONAMIENTO; LA VALORACION; LAS APROBACIONES GUBERNAMENTALES, LAS LEYES Y/O LOS REGLAMENTOS GUBERNAMENTALES; LAS COSAS RELACIONADAS CON LA PROPIEDAD O QUE LA AFECTAN, INCLUYENDO, SIN LIMITACION
1) EL VALOR, LA CONDICION, LA COMERCIABILIDAD, LA RENTABILIDAD, LA IDONEIDAD O LA APTITUD PARA UN USO O PROPOSITO PARTICULAR DE LA PROPIEDAD.
2) LA FORMA O LA CALIDAD DE LA CONSTRUCCION O DE LOS MATERIALES INCORPORADOS A CUALQUIERA DE LOS BIENES.
3) EL MODO, LA CALIDAD Y/O EL ESTADO DE REPARACION O FALTA DE REPARACION DEL INMUEBLE; Y
4) LA REALIZACION DE LAS OBRAS EN EL INMUEBLE.
C. EL LICITADOR ACEPTA LA PROPIEDAD BASANDOSE UNICAMENTE EN LA INSPECCION, LAS PRUEBAS Y/O EL UNICO JUICIO DEL LICITADOR DESPUES DE HABER INSPECCIONADO LA PROPIEDAD PARA CUALQUIER PROPOSITO QUE EL LICITADOR CONSIDERE NECESARIO O APROPIADO Y EL LICITADOR SE HAYA SATISFECHO EN REFERENCIA A LA MISMA.
D. EL POSTOR NO SE HA BASADO, DIRECTA O INDIRECTAMENTE, EN NINGUNA REPRESENTACION O GARANTIA DEL VENDEDOR O DE CUALQUIER AGENTE DEL VENDEDOR;
E. EL LICITADOR DECLARA QUE:
1) EL POSTOR ES UN COMPRADOR CONOCEDOR DE LOS ARTICULOS DE LA SUBASTA, O SI NO LO ES, ENTONCES EL POSTOR HA CONTRATADO A PERSONA(S) CONOCEDORA(S) PARA AYUDAR AL COMPRADOR EN EL EXAMEN, INSPECCION Y COMPRA DE LA PROPIEDAD.
2) EL LICITADOR SE BASA UNICAMENTE EN SU PROPIA EXPERIENCIA E INSPECCIONES PARA COMPRAR LA PROPIEDAD; O EN LA EXPERIENCIA E INSPECCIONES DE LOS EXPERTOS CONTRATADOS POR EL COMPRADOR EN LOS QUE ESTE CONFIA UNICAMENTE EN CUANTO AL ESTADO DE LA PROPIEDAD.
3) EL LICITADOR HA REALIZADO LAS INSPECCIONES E INVESTIGACIONES DE LA PROPIEDAD QUE CONSIDERA NECESARIAS, INCLUYENDO, PERO SIN LIMITARSE A, LAS CONDICIONES FISICAS Y AMBIENTALES DE LA MISMA Y SE BASA UNICAMENTE EN ELLAS.
F. NO EXISTEN ACUERDOS VERBALES, GARANTIAS Y/O REPRESENTACIONES, COLATERALES O QUE AFECTEN A LA PROPIEDAD POR PARTE DEL VENDEDOR, CUALQUIER AGENTE DEL VENDEDOR O CUALQUIER TERCERO.
G. LOS TERMINOS Y CONDICIONES DE ESTA EXPOSICION SOBREVIVIRAN EXPRESAMENTE AL CIERRE Y NO SE FUSIONARAN CON LA COMPRA.
H. EL POSTOR RECONOCE Y ACEPTA QUE LAS DISPOSICIONES DE ESTE PARRAFO FUERON UN FACTOR MATERIAL EN LA DETERMINACION DEL PRECIO DE COMPRA DE LA PROPIEDAD.
