Aero Auction Sales Inc. “Aero” is providing Internet pre-auction and live bidding as service to the bidder. Aero reserves the right, at our sole discretion, to add, withdraw or change some or all of the Online Bidding Services at any time without notice. The following Terms and Conditions must be accepted, without modification, before you may access our Online Bidding Services. As used in these Online Biding Terms and Conditions, “You” are an individual acting on your own behalf, or an agent of a person or entity that has authorized you to act on their behalf; “we” and “us” mean Aero. Aero reserves the right to allow or deny access to Online Bidding Services to any party at our sole discretion. Upon acceptance of your application for access to Online Bidding Services, you will receive an Online Bidding Number; you are responsible for all activities that occur using your Online Bidding Number. By accepting these Online Bidding terms and Conditions, you warrant that: (a) you are at least 19 years of age and possess the legal capacity to participate in Aero Auctions; (b) you will be financially responsible for your use of the Online Bidding Services; and (c) you will be responsible for any usage by minors or any other party of Online Bidding Services under your name or account. BIDS PLACED VIA ONLINE BIDDING SERVICES ARE FIRM COMMITMENTS TO PURCHASE AND MAY NOT BE CANCELLED OR RETRACTED FOR ANY REASON. ALL UNITS ARE "AS IS WHERE IS" AERO CANNOT AND DOES NOT GUARANTEE THAT BIDS PLACED VIA ONLINE BIDDING SERVICES WILL BE TRANSMITTED TO OR RECEIVED BY THE AUCTIONEER IN A TIMELY FASHION. FURTHER, THE AUCTIONEER HAS THE SOLE DISCRETION TO ACCEPT OR REFUSE ANY BID. All bids must be submitted in Canadian dollars. All bids are exclusive of all applicable taxes, customs duties, registration fees, shipping, rigging or other preparation and transportation costs and insurance. SALES TAX EXEMPTIONS: ONLY APPLICABLE TO EXPORTERS EXPORTERS: If you take possession of your purchase in Canada, you must pay sales tax. You must provide the following in order not to be charge: Bill of Lading – All export purchases must be removed by a trucking company. The trucking company will provide a Bill of Lading with the purchases listed showing the final destination. NOTE: No items will be released without this document or you may pay tax and be reimbursed once the Bill of Lading or a Dock Receipt is received. Bids for an item do not apply to subsequent offerings of identical or similar items. A bid that was unsuccessful may be reinstated if a problem arises with a higher bid. Bidders placing winning Online Bids will be notified by email following the sale. The winning bidder for a particular lot (the “Buyer”) shall have purchased that lot at the accepted bid amount. Purchases become the responsibility of and shall be at the risk of Buyer upon acceptance of his bid. It shall be the responsibility of the Buyer to insure his Purchases immediately. Auctioneers shall not be responsible for loss or damage to any Purchase. Purchases will not be released until all accounts are paid. All Payments must be made by cash, bank draft, major credit card or Company cheque accompanied by a Bank letter of Guarantee acceptable to Auctioneers. On Auction Day: (i) Lots under $ 5,000.00 must be paid in full: (ii) for Lots over $5,000.00 an amount equal to or greater than 10% of the purchase price shall be paid and the balance due within seven (7) days of the auction date: (b) Payments received on account of this or any other auction may, at the auctioneers’ discretion, be applied to prior outstanding accounts first. Buyers shall not be entitled to possession of any of his Purchases until the total purchase price of all his Purchases, including all applicable goods, sales or use taxes, has been fully paid. In the event Buyer fails to pay the amount due within the prescribed time, or fails to comply with any terms , Auctioneers shall retain a possessory lien on all Purchases of Buyer and at Auctioneers’ sole discretion have the right to resell any Purchase, the net proceeds thereform (after deducting commission of 15% and any costs)shall be credited to the original Buyer’s account and the original Buyer shall forthwith upon demand pay Auctioneers, as damages, any deficiency arising for the resale. All Purchases must be removed from the auction site within the time announced or posted at the auction site and all costs, responsibility and risk of such removal shall be borne by Buyer. The Buyer, if asking the Auctioneers to assist in the removal of any item(s) will indemnify and hold the Auctioneers and/or their staff, harmless from any resulting loss or damage to the item(s) being removed. The Buyer will supply the auctioneer proof of adequate insurance coverage for Purchases requiring dismantling, rigging or hot cutting. If for any reason Buyer fails to remove any Purchase with the time specified by the Auctioneer, the Purchase shall be subject to storage charges at $40/day or as reasonably determined by the Auctioneers, and may be deemed abandoned by the Buyer. In such an event, Auctioneers, at their sole discretion, may resell per above, or remove and store the said Purchase at Buyers sole risk and expense. Buyer shall be liable for any rent incurred or damages suffered by Auctioneers because Buyer’s failure to remove any Purchase. The Listing catalogue has been prepared as a guide only, based on information from sources believed to be reliable and from the consignor: however its accuracy cannot be guaranteed or warranted. No sale shall be invalidated; nor shall Auctioneers be liable as a result of defects or inaccuracies in the listing catalogue. Bidder acknowledges that all Lots were available for inspection prior to the auction and that it is his responsibility to inspect all equipment and to make his own inquiries prior to bidding. If, for any reason, Auctioneers are unable to make available or deliver any Purchase or clear title to the same, or documentation required in respect of any Purchase, whether before or after delivery, Auctioneers’ sole liability, if any, shall be the return of monies paid in respect of such Purchase upon its return by Buyer. Any such Purchase, for which clear title cannot be provided, shall be returned and surrendered to the Auctioneers upon demand. Title and vehicle registrations will be delivered to the Buyer within (14) banking days of the termination of the sale upon payment of the full purchase price, or so soon thereafter as may be reasonably possible, it being a condition hereof that the provision of such documentation depends on their availability from the former owner Buyer agrees to indemnify and save harmless the Auctioneer from any claim demand, action or suit for loss, damage or injury to a third party after the time of Purchase and before title documents have been delivered to the Buyer. You may not record, store, duplicate, reproduce, re-broadcast or otherwise exploit any data or audio/video content transmitted to you as part of Online Bidding Services during a live auction (collectively “Auction Data”). Aero owns all right, title and interest in and to all Auction data. Aero is providing internet pre-auction and live bidding as a service to the Bidder. Bidder acknowledges and agrees that the internet is an unreliable, unsecured and error prone network and Aero cannot and does not guarantee continuous, uninterrupted or secure access to Online Bidding Services or the aeroauctions.ca web site or the Bidder Information, including auction registration and bids, will be transmitted or received in a timely fashion. Under no circumstances shall Bidder have any kind of claim against Aero or anyone else if the internet service fails to work correctly before or during a live auction. Aero will not be responsible for any missed bids from any source. Any Bidder wishing to make certain there bid is acknowledged should use the absentee bidding feature on aeroauctions.ca and leave their maximum bid 24 hours prior to the auction starting. Aero reserves the right to suspend, postpone or cancel any auction or access to Online Bidding Services, without notice, if Aero deems such action necessary. Aero will no liability to you as a result of such suspension, postponement or cancellation. The bidder consents to the auctioneers using the information provided in the Online Bidding Registration for internal marketing purposes and to assist the auctioneers in refining and improving its services. These are the complete Terms and may not be amended except by agreement in writing signed by Auctioneers and the respective Buyer. Registration Make sure you register in the name you wish to appear on the invoice - The name shown on your invoice is the name that will appear on registration certificates or titles of units you have purchased. No changes will be made to the invoice after the auction. International Bidders are required to provide a current, valid passport for identification purposes and $10,000.00 refundable bid deposit. This deposit must be made in CAD funds in the form of a bank draft or wire transfer before acceptance into an auction will be approved. All units are sold "AS IS, WHERE IS". No warranties or guarantees whatsoever. You are responsible for inspecting items before bidding. Upon becoming the buyer, the item is your sole responsibility. All sales are final. The catalogue listing has been compiled of information from our consignors and other reliable sources. However, we cannot guarantee its accuracy; it is your responsibility to inspect the equipment before hand to make sure you are satisfied that the item is as you believe it to be. This catalogue is a guide and a guide only; it is subject to change without notice. Loading of purchases at this auction is the Buyer's sole responsibility. Insurance and removal is the Buyer's responsibility. Aero employees will not load any equipment, pack any trailers or containers or assist in securing any item; this responsibility lies with the Buyer. Aero equipment (forklifts, loaders, etc.) will not operate after dark. Aero employees will assist in loading non-rolling stock only, at the sole risk of the Buyer. Charges will be applicable and are posted at the auction site.
