Thank you for participating in a Thomas Hirchak Company Online Auction. It is important that you become familiar with the terms and conditions as all sales are final. The terms of sale are non-negotiable. Payment will be due within 24 hours of the close of auction in the form of bank wire OR certified funds only. The internet premium is 13%. 1. Thomas Hirchak Company is hereinafter referred to as THCo. 2. All items are sold as-is, where-is, with no guarantees what so ever. 3. Review all promotional materials and terms in detail to ensure you know what you are buying and what the expectations of the seller are. Please schedule an inspection and determine for yourself the models and condition of all equipment being sold. 4. The successful bidder will be required to deposit $5,000.00 with THCo by bank wire or certified funds to be accepted as bidders. Deposit from the winning bidder shall be held as removal deposit and returned upon satisfactory clean-up of the site following removal of the equipment. 5. Payment of the high bidder will be due within 24 hours of the close of auction in the form of bank wire or certified funds. 6. Purchaser will have until Sunday, July 31, 2016 to disassemble equipment, repair the garage door and leave the site free of debris. 7. Disassembly may commence on Wednesday, July 13, 2016. after payment in full is received, including security deposit and certificate of insurance is provided. 8. Disassembly will commence no later than Sunday July 31, 2016 UNLESS a lease is entered into with the property owner. 9. Purchaser will disconnect the electricity from the structure prior to dismantling any equipment and cap it properly. 10. Removing entity will be required to provide certificate of insurance naming THCo & PUB & Property Owners as additional insured. 11. Security Deposit will be refunded upon purchaser's completion of required site clean -up. 12. If site is not left clean as of the last date of removal, THCo may perform the clean-up. The deposit will be applied to this activity. Any unspent money will be retained by the seller. Registration at the auction (online and/or in person) finalizes each bidder's agreement to the terms and conditions of sale as stated in the Contract and any Addenda which are incorporated by reference into your bidding. Do not bid until you have read the terms and conditions. In order to bid at the auction all Bidders must be signed up and register to bid through Proxibid.com. There is no fee to register although a valid credit card will be required to verify identity and funds. By bidding you are representing to Thomas Hirchak Company (Auctioneer) and the seller that you have read and agree to be bound by the terms and conditions for this sale as stated herein. If you do not agree with any of the terms and conditions stated DO NOT BID or you will be bound by those terms and conditions. By bidding you agree to all disclosures. THE SALE WILL BE CONTROLLED BY THE AUCTIONEER PROGRAM. Thomas Hirchak Company is not responsible for malfunctions or system errors which cause a bid or bidder to fail to be recognized or registered. If there is a dispute, the Auctioneer may re-open the bidding at the Auctioneer's sole discretion and shall serve as the sole arbiter as to who is or is not allowed to bid. Equipment is sold 'AS IS, WHERE IS' with no financing, inspection or other contingencies to sale. Thomas Hirchak Company represents the Sellers only and does not inspect properties on bidder's behalf. Buyers must conduct their own due diligence and investigation of each property and must also investigate the suitability of each parcel prior to making a bid and purchase at the auction. Buyers must rely solely upon their own investigation and not any information provided by the Seller or Auctioneer. Failure of a Buyer to be fully informed on the condition of a property will not constitute grounds for any claim adjustment or right to cancel sale. Default and Resale: You agree that if, after being declared the winning bidder, you fail to pay for any item that you have won for any reason, your account will be declared in default. If you still refuse to pay for any item after being notified of your accounts being in default, you agree that the Auctioneer will have the right to immediately resell your item, and you further agree to pay (1) any cost associated with the resale and (2) any deficiency between your original purchase price and the resale price. Picking Up Your Items: You are solely responsible for the safe and timely pick-up and removal of any items you may win at this auction. If you are unable to safely pick up and remove your items during the removal times that have been scheduled for this sale, PLEASE DO NOT BID. The Auctioneer does not hold items beyond the published removal times. The Auctioneer will not issue you a refund if you are unable to pick up and safely remove your items during the published removal times. You must have written permission from Thomas Hirchak Company to leave purchased items on-site beyond the scheduled load out date or they will be disposed of at the discretion of seller/auctioneers. Abandonment: You understand and agree that any item that you do not pick up during the published removal times will be considered abandoned. You understand and agree that you will be charged a reasonable fee for the storage, removal, and/or disposal of any item that is considered abandoned. Disposal of Unclaimed Items: In the event you refuse to pay for or abandon any item that you win at auction, the Auctioneer will have the option of reselling, removing, storing, or disposing of the unpaid-for or abandoned item. You understand and agree that you will be personally responsible for all deficiencies and all legal, collection, transportation, and storage expenses associated with your delinquent account and/or abandoned items. In the event of resale, you agree to pay any cost associated with the resale as well as any deficiency between your original purchase price and the resale price. YOU ARE ENTERING INTO A BINDING CONTRACT. THERE ARE NO REFUNDS OR BID CANCELLATIONS. THE REGISTERED BIDDER IS PERSONALLY RESPONSIBLE, LEGALLY AND FINANCIALLY FOR ALL AUCTION ITEMS BID UPON WHETHER REPRESENTING ONE'S SELF OR ACTING AS AN AGENT. AN ONLINE BID ACCEPTED AT PUBLIC AUCTION IS A LEGAL AND BINDING CONTRACT TO PURCHASE. ANY BIDDER WHO FAILS TO CONSUMMATE A PURCHASE WILL BE BANNED FROM BIDDING AT ALL FUTURE SELLER AUCTION EVENTS AND MAY BE PURSUED FOR CIVIL AND/OR CRIMINAL VIOLATIONS. At the request of the auction company, this auction permits bids to be placed by the auctioneer, an employee of the auctioneer, or the seller or an agent on the seller's behalf, even if such bids are placed solely for the purpose of increasing the bid. While Proxibid's Unified User Agreement prohibits this behavior, in accordance with UCC 2-328, this auction is permitted to engage in this activity by providing this clear disclosure to you, the bidder.
