Please Read Carefully 1) All bidders have to show evidence that they have the capital available, if they are successful, to pay for their purchases. This can be in the form of a Letter of Credit, Bank Letter guaranteeing the amount of the bid or a Performance Bond. 2) It is not necessary that the successful bidder remove all assets being bid on. If awarded the contract, the successful bidder can: Take what they want and leave what they want. 3) Work can begin as early as Oct 1, 2003 ( on those buildings which are available at that time) and be completed by February 1, 2004. 4) This bid is not being offered by the piece, or by the pound. It is a bulk bid and the bidders are urged to visit the site to inspect all assets being offered. 5) SBMA & Agfa Corporation make no warranty as to the quality or condition of the assets being offered. 6) SBMA and Agfa Corporation do guarantee to the bidder that all assets are being sold free and clear of all liens and encumbrances. 7) Buyer Premium: A 10% Buyers Premium applies to this offering. When filling out the bid sheets, note the buyers premium box 8) Environmental Issues: It is the responsibility of Agfa Corporation to remove any material before the removal of the assets which maybe classified as an environmental issue. 9) Primary Buyer / NO Assignment: The successful bidder is the only buyer which will be recognized as the only buyer to fulfill the contract. The buyer cannot assign the contract to an outside third party without the written consent of SBMA. 10) Selling On Site: It is the intent of this SSA that SBMA develop a contract with the successful buyer/s and no one else. The site is not to be used to conduct an auction/s or other types of selling techniques. All selling to outside third parties should be managed by the successful bidder and managed off site. 11) Health & Safety Issues: All bidders will be required to agree to adhere to all health and safety guidelines established by Agfa. TERMS & CONDITIONS All assets that are being offered are sold on an as is, where is basis. Stuart B. Millner & Assoc. has the right to accept or reject any or all bids. In order to participate in this SSA, the bidder has to agree to submit a REFUNDABLE Certified Check in an amount of no less than 10% of total bid amount with the bid.
