PROLINE EQUIPMENT COMPANY AUCTION TERMS & CONDITIONS AUCTIONEER All auctions are conducted by Proline Equipment Company, LLC (“Auctioneer”). Auctioneer may utilize third-party service providers, including online auction platforms such as Proxibid, Inc., invoicing services, payment processors, or other vendors to facilitate the auction process. NO WARRANTY; AS-IS / WHERE-IS ALL AUCTION ITEMS ARE SOLD “AS-IS, WHERE-IS,” WITH ALL FAULTS, AND WITHOUT ANY WARRANTIES OR GUARANTEES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. Descriptions provided in lot listings, marketing materials, advertisements, or verbal statements are for identification purposes only and do not constitute a representation or warranty of any kind. Auctioneer does not guarantee the accuracy of descriptions, hours, mileage, model year, specifications, condition reports, or suitability for use. No inspection, certification, load testing, or mechanical evaluation is guaranteed unless expressly stated in writing. It is the sole responsibility of the bidder to inspect and verify condition prior to bidding. INSPECTIONS Prospective bidders are strongly encouraged to inspect items prior to bidding. Any condition information provided reflects visible observations at the time of listing and may not reflect current condition at time of pickup. Hour meter and odometer readings are based solely on visual readings and are not guaranteed to reflect actual total usage. Purchaser is solely responsible for determining the condition, safety, compliance, and suitability of each Auction Item prior to use. BIDDING & BINDING OBLIGATION All bidders must register through Proxibid prior to participating. By placing a bid, bidder acknowledges agreement to these Terms and Conditions. In a timed online auction, the highest accepted bid at closing constitutes a legally binding contract between Purchaser and Auctioneer. Bids may not be withdrawn after the published close time. Auctioneer reserves the right, in its sole discretion, to reject or void any bid, remove any lot from sale, postpone or cancel an auction, or cancel a sale in the event of system error, clerical mistake, title issue, or suspected fraudulent activity. In such event, Purchaser’s sole remedy shall be a refund of any funds actually received by Auctioneer. Auctioneer reserves the right to utilize house accounts during the auction. Auctioneer employees or authorized representatives may place bids on behalf of the seller to protect reserve prices or to facilitate the auction process, as permitted by applicable law. Such bidding may occur during live or timed online auctions and may be executed through online bidding platforms. By participating in the auction, bidders acknowledge and consent to this practice. PAYMENT TERMS Payment is due within three (3) business days of auction close unless otherwise stated. Accepted payment methods include wire transfer, ACH, or credit card (subject to stated limits and applicable processing fees, if any). Auctioneer reserves the right to refuse credit card payments exceeding stated limits. Failure to remit payment within the required timeframe may result in cancellation of sale, forfeiture of bidding privileges, and/or legal action. SALES TAX & FEES Sales tax will be collected in accordance with applicable state law unless a valid resale certificate or exemption documentation is provided prior to invoicing. Buyer’s Premiums, transaction fees, residential delivery fees, storage fees, and other applicable charges will be disclosed in the auction listing and added to the final invoice where applicable. REMOVAL & STORAGE All items must be removed within the timeframe stated in the auction listing. Removal is by appointment only unless otherwise specified. Items not removed within the stated timeframe will be subject to storage fees of $25 per day per lot unless otherwise stated. Storage fees must be paid prior to release. Items remaining beyond thirty (30) calendar days after auction close may be deemed abandoned. Auctioneer reserves the right to resell, scrap, or otherwise dispose of abandoned items without refund. A paid-in-full invoice must be presented prior to release of any item. LOADING, SECUREMENT & TRANSPORT Purchaser is solely responsible for loading, securing, and transporting all Auction Items. Auctioneer assumes no responsibility or liability for damage, injury, or loss arising from removal or transportation. Purchaser is responsible for compliance with all federal, state, and local transportation laws, including CDL requirements, load securement regulations, weight limits, and permitting requirements. If Auctioneer personnel assist with loading, such assistance does not relieve Purchaser of responsibility for proper securement or transport. Purchaser agrees to indemnify and hold harmless Proline Equipment Company and its agents from any claims, damages, losses, or liabilities arising from Purchaser’s removal, transportation, possession, or use of Auction Items. RISK OF LOSS Risk of loss transfers to Purchaser immediately upon auction close and creation of the binding sale contract, regardless of whether the item has been removed. Purchaser is responsible for obtaining insurance coverage upon purchase. Auctioneer is not responsible for theft, vandalism, weather damage, or other loss after auction close. ONLINE PLATFORM DISCLAIMER Auctioneer utilizes Proxibid for online bidding. Auctioneer does not guarantee uninterrupted access to the bidding platform and is not responsible for outages, delays, missed bids, or technical failures beyond its control. ASSUMPTION OF RISK & INDEMNIFICATION Purchaser assumes all liability for personal injury, property damage, or other loss resulting from presence at pickup location or use of Auction Items. Purchaser agrees to indemnify, defend, and hold harmless Proline Equipment Company, its owners, officers, employees, and agents from any claims arising out of: Purchaser’s breach of these Terms, Purchaser’s improper use of Auction Items, Loading, removal, or transport of Auction Items, Violations of applicable law, Enforcement of these Terms. CLASS ACTION & JURY TRIAL WAIVER Purchaser agrees that any claims arising from participation in the auction process shall be brought in an individual capacity only and not as part of a class action or representative proceeding. Purchaser knowingly waives the right to trial by jury. GOVERNING LAW These Terms and all auction transactions shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to conflict of law principles. Any legal action shall be brought exclusively in a court of competent jurisdiction located in Connecticut.
