Terms Of Sale

NOTICE: All Bidders attending this sale agree that they have read and have full knowledge of these terms and agree to be binding as a legal contract between Bidders (Buyers) and Foremarket Auction LLC. (Seller). 1.) Payment: Payment shall be made by approved methods in the auction listing. Checks from new bidders MUST BE accompanied by a letter from the payer's bank guaranteeing unqualified payment to Foremarket Auction LLC. Your letter should be similar to the following: (Your or Company Name) is a customer of this bank. This bank will guarantee unqualified payment to Foremarket Auction LLC. on the account listed herein up to the amount of $___. This letter is valid until (date). Checks without a letter from the bank guaranteeing unqualified payment will not be accepted unless approved by Seller. All items must be paid for before moving, preparing, or shipping. 2.) Removal/Cleanup: All purchases must be removed on the designated pickup days scheduled for the online auctions. Removal shall be at the expense, risk and liability of the Buyer. Purchases will be allowed to be removed only upon presentation of paid invoice. Auctioneer/Seller shall not be responsible for goods not removed within the time allowed. Goods unpaid and not removed may be subject to forfeit. It is the Buyers responsibility to make sure that the area in and surrounding various lots that he purchases at least as clean as it was prior to those purchases. If there is oil in a machine, or something similar, the Buyer must take the material, or such removed from said machine with them unless another method is approved by seller. If the Buyer buys a lot and decides to leave the item the seller must be notified for approval. 3.) Sales Tax/Premium: Each Buyer will be responsible for payment of sales tax chargeable by County and/or the State in addition to the bid price including buyer's fee for any asset purchased, unless proper and acceptable evidence of a Certificate of Exemption is provided to Foremarket Auction LLC. 4.) Condition of Items: Buyer acknowledges that they have inspected the items intended to bid on or purchase. Buyer agrees to accept items “AS IS, WHERE IS”. The auctioneer/seller makes no claims of usability of specific items for specific purposes. The Buyer accepts that the Sellers description may have faults and is encouraged to inspect items before bidding or purchasing said items. 5.) Safety and Power Disconnect Including Fluids: Items purchased may not incorporate approved activating mechanisms, operating safety devices, or safety guards, as required by OSHA or otherwise. It is Buyer's responsibility that items purchased be so equipped, safeguarded reassembly of machinery needs to meet OSHA requirements. REMOVAL OF ANY ITEMS WITH COOLANTS/REFRIGERANTS, ETC. MUST BE PERFORMED BY A LICENSED OR CERTIFIED PROFESSIONAL, AND YOU MUST SHOW PROOF OF SAME. ALL ELECTRICAL MUST BE CAPPED. POWER CABLES COME WITH THE PURCHASE AND TERMINATE AT THE FIRST DISCONNECT POINT. 6.) Indemnification: Buyer agrees to indemnify and hold auctioneer and seller harmless from and against all claims and liabilities relating to the condition of, removal of, or use of the articles purchased or failure of user, auctioneer, or seller to follow instructions, warnings or recommendations of the manufacturer, or to comply with federal, state, and local laws applicable to such articles, including OSHA Requirements, and federal, state and local environmental laws, ordinances and requirements, or for proximate or consequential damages, costs, or legal expenses arising therefrom. 7.) Liability of Removal: Buyer agrees to indemnify and hold both the auctioneer, seller and landlord harmless from and against any and all claims of whatsoever nature and kind for liability relating to the removal of items purchased. This refers to all damage done to the premises by virtue of the removal of the items purchased, including but not limited to proper disconnection of all electrical wiring, capping of said wiring, and turning off of all breaker switches to make sure that all wiring is not live prior to disconnection of the machinery involved, patching up any hole in wall, ceiling or roof as a result of the removal of said machinery or equipment, and repair of any and all other damage as a result of the removal of all machinery purchased, including restoration of electricity to the building. It is understood that the Buyer, or anyone he hires for removal, is liable for repair of any damage whatsoever as a result of the removal of any articles purchased at said auction. 8.) Theft: It is the buyer's sole responsibility to ensure the safety/security of their items purchased. Sellers shall not be held responsible for safety/security of any items. No claims can be made after removal. 9.) Risk: Persons or Buyers assume all risk of damage or loss to persons or property. Buyer or persons attending release specifically the Seller, Auctioneer, and Landlord from ANY risk associated with the sale, sale premises or items sold. 10.) Removal of Machinery or Removal of items by Contract: If the Buyer wishes to have items removed by a rigger/contractor a COI must be provided to Seller/ Auction Company before removal. For specific limits and requirements please contact Auction Company. If the Buyer needs the use of equipment to remove items, they must also provide adequate insurances. During removal if someone other than the registered buyer will be preforming the work they must have written approval of buyer. 11.) Changes: Seller reserves the right to make changes to certain sale formatting such as but not limited to (items added or removed, any terms and conditions) prior to the sale. 12.) Dispute: Buyer agrees to arbitration paid for by complainant between the buyer and seller or between buyer and buyer. 13.) Final: All sales are final. Buyer is responsible for all determining condition and feasibility of removal before purchase.
