The bidder hereby agrees to indemnify and hold Distinctive Coins and the consignor harmless from and against any losses, claims, obligations, demands, liabilities, costs, damages, compensation and expenses whether direct or indirect, present or future, foreseen or unforeseen, assessed or incurred by reason of or resulting from any defects, whether latent or otherwise, or the physical condition of any items purchased, and the bidder hereby waives the right to assert such claims. DISPUTES: In the event of a dispute between the bidder and Distinctive Coins, the rules and procedures described herein shall apply. If either party claims that the other party is in default under this agreement, the dispute shall be submitted to arbitration in the State of Illinois. Distinctive Coins shall appoint an impartial arbitrator and the arbitration process shall be initiated by either party’s notice served on the other party by certified mail. Non-participation in the arbitration shall be deemed a default. Where arbitration is initiated at the request of a bidder, that bidder shall be responsible for the arbitrator’s fees up to the maximum amount allowed by law. Each party shall present its case (within a limit of one hour per party) to the arbitrator. By placing a bid, the bidder agrees to waive its right to have any disputes resolved in a court of law. The bidder acknowledges arbitrator’s complete jurisdiction over the dispute and the right to issue a binding award. Arbitration fees shall be covered by the prevailing party or otherwise, as the arbitrator deems fit. The award shall be final, and the prevailing party shall be fully reimbursed for the fees actually paid in the dispute. By taking part in a Distinctive Coins auction, the bidder expressly agrees that the dispute resolution procedure described above shall be the only method of disputes resolution between the bidder and Distinctive Coins. In particular, the bidder agrees not to defame, slander or submit a dispute on or with any online venue, credit card company or other third party, and specifically the bidder shall not initiate a credit card chargeback dispute based on any claim. The bidder shall pay to Distinctive Coins a minimum of $250 plus hourly rates and costs in the event any such chargeback dispute is initiated due to the administrative burden involved. If the bidder violates these rules of dispute resolution in order to have his application to bid in a Distinctive Coins auction considered, the bidder shall confess to fraud against Distinctive Coins and shall be liable for all the resulting losses or damages, including time charges. If any provision of these terms and conditions or of any listing becomes invalid, unlawful or unenforceable under applicable law, that provision shall be revised sufficiently to make it compliant, and where no revision is possible, the provision shall be removed.
